Leading Fortune 500 financial and insurance company seeks a dynamic, experienced securities and investment products attorney for an Assistant GC opportunity in its variable products group (life insurance and annuities). This is an exciting opportunity to grow with a company long recognized as an industry leader, and known for its stability, financial strength and dynamic innovation. The Assistant GC will work collaboratively with the business to provide legal support across multiple product lines, working with the product managers, actuaries, compliance staff, and others in the legal department, governmental affairs and risk management. Some of the primary responsibilities of this position will include:
Providing counsel on the design, development, registration and administration of the company's variable life and annuity products
Advising on private placements, hedge fund offerings and preparation of offering documents
Reviewing design documents, sales and marketing materials, financial disclosures, etc.
Participating in industry groups and advising business units with respect to state and federal regulatory developments as appropriate.
At least 4-7+ years relevant experience in a securities or investment management practice focusing on complex insurance and financial products, and related securities and regulatory matters, with an AmLaw 200 law firm and/or corporate law department
Knowledge & understanding of variable life insurance and annuity products preferred
Background in '33/'34 Act and ’40 Act a plus
Strong analytical and communication skills required
NY bar admission required
