Support the North American General Counsel in all areas of law with an emphasis on supporting the compliance function to include all aspects of U.S. Government contracting, ITAR and export compliance, FCPA/Anti-Bribery and Corruption, and antitrust issues, among others.
This successful candidate will ensure that Ultra’s North American businesses always operate within applicable laws and regulations with a particular emphasis on export compliance and compliance with laws and regulations applicable to the Company as a supplier to the U.S. DoD. In particular, the successful candidate will:
Provide effective guidance to ensure legal compliance and mitigate risk exposure, taking into consideration both financial and reputational business impacts
Ensure that the Group’s compliance programs are embedded and effective
Assist with developing training program/materials
Assist business units with commercial and U.S.G. contracts negotiations and disputes
Assist the General Counsel to embed and maintain effective internal governance policies and processes related to legal compliance in North America
Work to anticipate legal issues or potential risks to the North American businesses, estimating risks and making appropriate strategic recommendations
Keep abreast of legislative changes and proactively making recommendations for policy changes required to protect the North American businesses
Partner with the business units to protect the Intellectual Property of the North American businesses
J.D. from an ABA-accredited law school
Member of a State Bar and ability to practice as in-house counsel in Virginia
10+ years’ professional legal experience with a primary focus on U.S. Government contracts law and compliance including experience conducting internal investigations
Ability to obtain a U.S. Government security clearance. Security clearances are granted to U.S. citizens.
10+ years’ previous experience in the defense industry supporting compliance with and execution of U.S. Government contracts
8+ years transactional experience within a government contractor
Experience addressing issues with DCAA/DCMA and cost accounting issues
Litigation experience, especially in context of U.S.G. contracts (bid protests, claims etc.)
High degree of professional ethics, integrity and gravitas
Excellent interpersonal and communication skills
Excellent judgment and analytical skills
