About the Senior Attorney, Commercial Transactions Position
This position will be focused on providing legal support for the commercial affairs team of a FERC-regulated refined products pipeline company, with an emphasis on support for transportation, storage, blending and terminalling agreements, capacity leases and similar commercial transactions. This position will also have an opportunity to support mergers and acquisitions, joint ventures and other partnering arrangements and will, as needed, provide support for the procurement department, principally in connection with construction and professional services contracts. This position will play an instrumental role in supporting the development and execution of the growth strategy at Colonial. The position requires that work be conducted in compliance with Colonial’s safety policies and procedures, as well as Colonial’s core values.
What You Get to Do:
Provide strategic legal advice and coordinate with all functions within the company on matters related to commercial transactions.
Review, draft and negotiate a broad range of commercial transactions, ensuring the transactions are in compliance with legal and regulatory requirements as well as corporate objectives.
Engage with commercial affairs and procurement leadership to identify and assist in responding to emerging concerns, including by participation in the development of relevant training materials.
Work collaboratively from project initiation with internal and external counsel, consultants and business unit staff on project assignments.
Provide advice on proposed commercial and corporate deal structures and advise on how to mitigate risks associated with such structures and arrangements.
Follow effective processes to ensure that corporate transactions are conducted in a manner that accomplishes the strategic goals of the company while mitigating potential risk exposure, including monitoring the contract process to assure compliance with the company’s contractual guidelines, satisfaction of customer specifications and adherence to company policy.
Collaborate with and manage outside counsel.
Conduct due diligence investigations as necessary.
What You Bring to the Table:
Juris Doctor Degree from an accredited law school.
8+ years of legal experience (external or in-house counsel) with a FERC-regulated entity in the liquefied natural gas, interstate natural gas, crude and/or products pipeline industry.
Membership in good standing in a state bar association as an attorney qualified to practice law in that state.
Strong knowledge of applicable federal, state and local laws.
Ability to recognize potential risks to the company and advocate for solutions to mitigate those risks.
Demonstrated ability to exercise sound independent judgment and discretion.
Obsession with safety and continually elevating standards through personal integrity, respect, innovation, and teamwork.
Self-motivated, have phenomenal work ethic and looking for the right company to support your growth.
Experience with commercial transactions in the refined petroleum products area.
Experience providing commercial transactional pipeline and storage support in various energy sectors (e.g., crude, natural gas, refined products).
Membership in good standing in the state bar of Georgia.
