Compliance, Corporate Generalist, General Commercial/Contracts
Lucas Group has an opportunity for a Corporate Counsel at a major corporation in their Atlanta, GA office - contract basis, indefinite assignment. This position will have primary responsibility for SEC reporting, commercial transactions and compliance. This position also will assist on global corporate development opportunities, including mergers, acquisitions, divestitures and joint ventures.
Provide legal advice, counsel and general transactional support in connection with the company’s corporate, regulatory, commercial, and governance activities.
Review and advise on SEC reporting documents.
Provide support for corporate board operations, including preparation of materials for board and/or committee meetings, agendas and minutes.
Assist in ensuring that the company conducts its business in compliance with applicable laws and regulations while focusing on safety and best practices.
Performs other duties as required.
Juris Doctor Degree from a top rated American law school and licensure under at least one state bar.
Five (5) or more years of experience as a corporate generalist with emphasis representing public companies in SEC matters, commercial contracts, corporate governance and compliance. Prior inhouse experience preferred.
Public company experience (specifically ’34 Act reporting) is required.
Experience advising a company with multinational operations and experience in the manufacturing industry is a plus.
A self-starter that can work independently and efficiently on projects and key deliverables under time pressures and deadlines in a fast paced environment.
Strong business acumen with excellent leadership and interpersonal skills.
Ability to communicate and work collaboratively with all levels of employees, management, and external agencies to maximize performance, creativity, problem solving, and results.
Ability to multi-task and work in a fast paced environment.
Ability to exercise sound judgment and balance legal issues with the needs of the business.
High level of maturity with the ability to maintain a professional presence in front of senior/exec groups (BOD)
