The Attorney will be responsible for the legal/corporate compliance of our clients in coordination with the department Manager. In this capacity the Attorney will draft resolutions, bylaws, POA’s and minutes as well as monitor completeness of client files by checking regularly on-going tasks and filing requirements. The Attorney will also manage incorporations and corporate filings on behalf of client companies. Overall, will assist Manager with the execution of all necessary tasks to maintain legal compliance for our clients.
Provide Corporate Secretarial services to local Client Entities including, but not limited to Incorporation, Corporate Restructuring, and Governance requirements (across the U.S.)
Ensure all Client Entities remain in good standing and qualified to do business in their respective domestic and foreign jurisdiction(s).
Facilitate document retrieval including apostille and legalization of documents.
Maintain and update database for legal entities including Directors and Officers, reporting requirements and addresses.
Ensure corporate books are up-to-date and documents maintained correctly.
Maintain and track compliance deadlines, communicating with clients to ensure reporting deadlines are met.

Job Specific Competencies
Juris Doctorate degree from an accredited US law school
Knowledge of corporate law
Active U.S. Bar membership or candidate for the Bar exam
Excellent written and spoken communication skills in English
Ability to manage multiple projects simultaneously
