Compliance, General Commercial/Contracts, Intellectual Property
This attorney, to be engaged on a contractor basis, will support Adobe's business in Canada. Office locations are either Toronto or Ottawa. The expectation is work on a broad range of revenue generating enterprise licensing and sales transactions. This includes hosted software solutions, on-premise software licenses, and professional services – areas that are critical to Adobe's success.
The successful candidate must be qualified to practice law in Canada, and have significant overall post qualification experience, with some experience in Canadian public sector procurement (federal agencies, provinces, etc.), preferably in the area of software licensing. Experience with negotiating software license deals (including cloud-based software) is desired. The successful candidate must be prepared to negotiate and drive strategic transactions and a significant volume of sales/revenue agreements, often under quarterly time pressure. Compliance matters may also be part of job scope.
She/he must also be prepared to counsel Sales and Sales Management (and possibly other groups, such as the Business Units) on a variety of licensing, intellectual property, Canadian government, anti-trust and privacy law topics. Strong communication skills are required, along with the ability to oversee projects.
Must have a can-do attitude, be able to provide solutions that balance legal and business concerns, be detail-oriented, customer-focused, and a team player.
The role is currently being slated for a term of 12 months.

Must be licensed as an attorney in Canada (Required)
7+ years’ experience in negotiating technology based contracts, preferably in the area of software licensing, with experience in government technology procurement (Required)
Experience with supporting enterprise software sales and cloud-based offerings is a strong plus
Experienced in contract negotiations (Required)
Knowledge of IP laws, relevant data privacy laws (including PIPEDA,CASL)
Knowledge of Canadian government procurement laws and regulations (such as the SACC Manual), and federal procurement processes (Required)
Attentive to details, a good communicator, and organized
Excellent drafting skills
Background in compliance is a plus
Proficient in French a plus
