The mission of the Legal, Compliance and Safety, Environmental, and Facilities (SEF) department is to support the business with sound legal strategies, develop and support compliance programs, sustain board operations while providing leadership and support Safety, Environmental and Facilities to promote business growth and continuous improvement. This role of Associate General Counsel and Assistant Secretary is located at the headquarters in Jasper, Indiana and reports to the Vice President, General Counsel, Secretary and Chief Compliance Officer.
The Associate General Counsel and Assistant Secretary will be responsible for providing enterprise thinking, effective legal and compliance guidance, support to the KEI Board, in addition to guiding safety, environmental, and facilities initiatives worldwide. This individual will apply a generalist business mindset to translate legal guidance to outcomes needed by the business to meet stated goals. This role will effectively manage litigation, outside legal service providers and support government relations. This individual will also work to link KEI’s purpose, to create quality for life, to our culture of compliance through counsel on ethical business practices and risk mitigation. To maximize the KEI Board effectiveness, this individual will advise and support Board organization and management. This individual will manage stakeholders and advocate for on-time, on-budget facility projects and hold leadership accountable for zero-injuries worldwide. To support our growth strategies, the Associate General Counsel and Assistant Secretary will also provide strategic advice and participate as necessary on due diligence and integration teams for acquisitions.
Basic Background Requirements:
Ability to work with all levels of the organization and with multiple cultures, ability to build strong internal and external partnerships, strong written and verbal communication, detail oriented, disciplined with the ability to work within ambiguity and under pressure to meet deadlines, ability to work independently, and willingness to travel to domestic and international locations as needed, 4-year undergraduate degree in business or related field preferred with a legal degree and license to practice in Indiana or meets qualifications necessary to receive an Indiana business counsel license under Rule 6, Section 2 of the Indiana Supreme Court Rules for Bar Admission. At least three years of experience with a strong interest in global business, specifically related to mergers and acquisition work, contract review, and labor law, is preferred. A broad curiosity for legal and business topics and exposure to compliance, immigration, and intellectual property is helpful.

Learn and partner with the Audit Management Services team on the annual Enterprise Risk Management process, system and action planning
Counsel on effective compliance system, including utilization of WeComply, a global compliance e-learning program
Take ownership of the company wide Legal site for the efficient and effective sharing of Company legal policies and ensure the security of such information
Attend bi-annual strategic planning session for Kimball Electronics to support connection to business plan and goals
Attend a Safety, Environmental and Facilities assessment of a global business entity
Serve as internal counselor for company-wide adoption of legal rules and regulations to ensure compliance
Participate, as necessary, on due diligence and integration teams as a representative of Legal and SEF to support growth strategies
Participate in annual mandated environmental reporting as well KEI’s Environmental, Social and Governance report in conjunction with KEI’s Annual Report
Participate in National Association of Corporate Directors (NACD) education related to effective Board management and governance
Audit the non-disclosure agreement and contract review processes at Kimball Electronics and counsel on improvements to the KEI Leadership Team
Assist in preparation, effective execution, and ensuring accuracy and integrity of KEI Board meeting agendas, scheduling, management and action planning
