5 to 10 years of experience negotiating and drafting IP-intensive technology agreements including joint development and collaboration efforts, patent licenses, IP acquisitions, inbound and outbound license agreements, business startup and other technology transfer related issues.
Exposure to gig-economy business models such as delivery or task platform service provider programs.
Proficient in navigating the interplay of business objectives with legal and financial considerations during the development, evaluation, and application of new technologies and operating models.
Adept at negotiating and drafting diverse transactional agreements including, but not limited to, IP provisions of commercial agreements, master service agreements, licensing agreements, SaaS platforms and software offerings, escrow agreements, non-disclosure agreements, maintenance, and support services agreements, and equipment purchase agreements.
Ability to efficiently develop and draft pilot, evaluation, and development agreements that may contain unique funding components.
General Professional Experience Provide advice and counsel to executive management on diverse legal topics in a manner that expedites the timely testing and delivery of cutting-edge technology.
Practical experience developing, drafting and evaluating strategic corporate programs and policies. In-depth knowledge of regulatory issues associated with the retail industry including, but not limited to, consumer protection, administration and participation in governmental programs (WIC/SNAP), financial services, privacy, data protection, consumer discrimination, pricing, and advertising.
Anticipate risks associated with complex, novel legal issues and devise strategies that enable clients to achieve their business goals.
