The New York City office of an international company is looking for an Interim Attorney with Procurement experience. Responsibilities of this position include: (1) negotiation, coordination, and drafting of complex global supplier technology-related agreements including software licensing, hosting services, software as a service and other cloud computing agreements, market data agreements, consulting, outsourcing and other complex global and regional agreements for goods and services; [(2) negotiation, coordination and drafting of other contracts in support of the Company’s’ corporate functions, such as special events contracts, real estate, and marketing sponsorship agreements;] (3) providing strategic legal advice and support to various business units worldwide; and (4) exercising influence and leadership with business partners and colleagues to help achieve results. _________________________________________________________________________ Principal Responsibilities:
• Negotiate, coordinate, and advise business regarding complex, global, high value procurement (goods and services), technology (including enterprise software licensing, hosting services, software as a service and other cloud computing agreements), market data, consulting, outsourcing, offshoring, privacy/data security, and IP-related agreements for the Enterprise. • Provide strategic legal advice and support to vendor sourcing, corporate real estate and other corporate functions worldwide. • Participate and contribute to various pilot programs with legal technology. • Negotiate, coordinate and advise on facilities management issues and other contracts, such as special events contracts, real estate, and marketing sponsorship agreements when required. • Provide support for M&A activity and similar projects as needed. • Demonstrate skills as an effective practitioner and negotiator, a creative problem-solver, self-starter and hard worker. Demonstrate strong service orientation and collaboration skills. • Exhibit detail-orientation, with very good organizational skills and significant experience in advising clients. • Identify and analyze legal issues and make appropriately risk-adjusted recommendations in a fast-paced and rapidly changing world and business environment. • Work with attorneys and compliance professionals in other practice areas within Legal Affairs in a collegial and coordinated fashion. • Performs other duties as required.
Knowledge/Skills/Competencies Required: • 7-10 years transactional experience at a major law firm and/or major in-house legal department. Insurance and/or other financial services industry experience a plus. • Juris doctor degree from an accredited law school. • NYS bar admission required. • Understanding of technology, privacy/data security and/or intellectual property law related to procurement contracts. • General vendor contracting background including in the areas such as cloud computing, software licensing, open source, offshoring, outsourcing, consulting, telecommunications, market data, sponsorships, advertising and marketing and real estate. • Good understanding of the importance of observing corporate governance processes. • Exhibits good business acumen and familiarity with the US, European, Latin America and Asia-Pacific market and regulatory landscape affecting IT and Non-IT vendor contracting. • Influence and leadership skills, especially in the context of the ability to relate to different stakeholders, business partners and colleagues. • Strong drafting, negotiating and analytical skills. • Crisp, clear client communication skills; in particular, the ability to reduce legal issues to straightforward practical analysis and advice in terms useful to non-lawyers. • Must be able to handle complex transactions from start to finish with minimal supervision. • Balances competing demands, multiple deadline-sensitive matters, assessing business priorities. • Follows through with the business team to ensure advice is acted upon, and that ethical, legal and business issues are raised to appropriate levels. • Willing to build knowledge of the company’s structure, operations, products and services, strategic business values, objectives, policies, culture, and regulatory requirements.
