Toyota Legal One (“TL1”) is the team of highly experienced in-house attorneys who provide full service legal support to Toyota Motor North America and its affiliates. Who we’re looking for
Toyota is currently undergoing a “once in a century” transformation from a car manufacturer into a mobility company. The Global Strategy and Solutions team of TL1 has been on the forefront of this transformation by providing counsel and advice to Toyota’s business leaders in a variety of global, cutting-edge transactions and projects. With the increased activity and focus on these types of transactions and projects, TL1 is seeking an experienced attorney to join the Global Strategy and Solutions team as Managing Counsel - Transactions.
The successful candidate will be part of an exciting, diverse and international team that provides expert counsel and guidance on venture capital investments, M&A, joint venture and other strategic technology transactions on a global scale. This role will report to the Vice President and Chief International Counsel of TL1 and will work and potentially lead projects and initiatives that are highly visible and have broad implications for Toyota’s operations globally.
What you’ll be doing
Handle all aspects of complex venture capital investment, M&A, joint venture, advanced technology and other strategic commercial transactions on a global scale.
Complete involvement in every stage of the transaction process, working closely with the business teams in the initial planning phases to structure the deal, then negotiating the terms of any investment, collaboration or commercial agreement and through closing of each transaction, and ultimately supporting the integration and implementation of any strategic initiatives.
Providing legal advice, counsel and support (including supervision of outside counsel) in a fast-paced business environment, working closely with business leads and executives in Toyota Motor North America as well as our many affiliates, including Toyota Connected North America, Toyota Research Institute and our parent company, Toyota Motor Corporation.
Proactively learning and working on emerging areas of the law involving mobility, including legal issues involving autonomous driving, AI, ride/car-sharing, data connectivity and other advanced technology areas.
Traveling both domestically and internationally for “genchi genbutsu” (go and see the actual issue with your own eyes) to understand the “genba” (actual place of work) and work closely with the business teams on the front line of each matter.
What you bring
J.D. degree and active membership in good standing in the bar of at least one U.S. state/jurisdiction; must also be licensed to practice law in Texas (or if moving to Texas, able to obtain license promptly thereafter)
Experience primarily in corporate transactions with a technology focus, preferably in a large law firm and/or multinational corporation
Self-starter with strong interest in global transactions, coupled with a strong desire to work closely with business clients to find solutions in a transformative industry
Strong customer focus and interpersonal skills
Excellent oral, presentation, and written communication skills
Practical approach to solving complex legal problems
Demonstrated experience working in an international, fast-paced transactional environment, including working across multiple time-zones and languages/cultures
Demonstrated experience in working as part of a cross-functional and culturally diverse team
Strong sense of inclusion and teamwork
Ability and willingness to travel from 10 to 20% of the time
Added bonus if you have
Japanese or other bilingual language capabilities is a plus, but not required
Experience working directly in the automotive or mobility industry
Previous in-house experience, including management of outside counsel, internal budgets, and project coordination
