Company Overview: JERA Americas, Inc. is a subsidiary of JERA Co. (Japanese Energy for a new Era), a joint venture between Tokyo Electric Power Group and the Chubu Electric Power Group. JERA Americas is pursuing disciplined growth with a goal of becoming a leading owner of contracted and merchant gas-fueled and renewable generating facilities in North America. JERA also owns 25% of the Freeport LNG Terminal 1 and is responsible for long-term gas procurement and asset management strategy.
Position: As JERA Americas’ first in-house lawyer, the Senior Counsel will be responsible for leading strategic and tactical legal initiatives. The Senior Counsel will provide management with effective advice regarding company strategies and their implementation, manage the legal function, and obtain (where appropriate) and oversee the work of outside counsel. The Senior Counsel will be directly involved in complex business transactions and negotiating critical contracts. He/she will be the “go to” person in the region regarding legal issues generally and will present an engaging demeanor and establish himself/herself as a trusted resource.
In addition to supporting JERA Americas as whole, the Senior Counsel shall provide legal support to JERA Americas’ Independent Power Producer (IPP) business unit in connection with the development, acquisition, operation, finance and disposition of merchant gas-fired and renewable generating projects. The Senior Counsel shall also be responsible for JERA Americas’ Freeport LNG Project in connection with the development, operation, finance, fuel procurement and tolling operations of the natural gas liquefaction and LNG export facility on Quintana Island near Freeport, Texas. Other responsibilities will include related financing matters, including assistance with credit facilities, project finance, and debt covenant compliance; assistance in overall compliance with federal, state and/or local laws and regulations, including with respect to FERC, NERC, Dodd Frank/CFTC, and FTC rules and regulations; compliance with ISO/RTO rules; and such other transactional, contractual and general legal matters for JERA Americas and its affiliates and subsidiaries as may be required from time to time.
Experience: The successful candidate will have 8-10+ years of relevant professional legal experience practicing law in a medium to large law firm or in-house legal department. Candidates will have experience with power project development, finance, operations and maintenance. Similar LNG experience would be a distinct plus.
Compensation: A competitive compensation package consisting of a base salary, short-term incentive and benefits.
