Assistant General Counsel
As part of the in-house legal services team for a premier face-to-face marketing company, this Assistant General Counsel position will be responsible for providing legal advice and executing legal services for the company. This position will be engaging with business leaders to provide advice and counsel across our portfolio of client campaigns and test/pilot programs. Position is based in our office in Orange County, California.
We are looking for a smart, industrious, hands-on, ambitious and entrepreneurial attorney to join our team. We are a small, tight-knit legal team that is well respected by the business teams, and want someone that can work effectively as part of a team and just as well independently.
This AGC position will be responsible for multiple marketing campaigns and all related work from start to finish, including researching laws in new industries, advising on various transactional options and handling creating of new entities as needed, advising business teams on do’s and do not’s in campaign marketing, marketing/collateral review and drafting of related sales and marketing agreements.
Specific duties will include:
Draft, review and negotiate complex commercial transactions, including joint ventures, strategic alliances, sales and marketing agreements, non-disclosure agreements and vendor services agreements.
Research statutes, regulations and case law related to campaigns in new industries, and advise business leaders on sales/marketing guidelines, compliant legal structure and processes (including drafting related guidelines and rules).
Provide legal advice and counsel to internal clients on a variety of business and contractual issues
Manage outside counsel resources as needed
Other duties as assigned

Required Knowledge and Skills:
Must have a JD and at least 7 years of combined in-house and law firm experience;
Excellent verbal and written communication skills
Intellectual curiosity, engagement and desire and ability to learn and develop new skills; the ability and desire to understand all aspects of our business to better understand the legal needs and provide comprehensive legal advice in a clear and succinct fashion
Must be comfortable juggling multiple projects in a fast-paced environment.
