Inside counsel reporting to the Associate Vice President Contracts and Compliance. Provide legal advice and services in support of the operations of the company and its affiliates. Participate in business, operational and strategic decision-making; advising leadership on legal strategies, issues and risk management. Analyze the impact and application of federal, state and provincial laws and regulations including (but not limited to) those regarding employment, personal data privacy, anti-corruption, EEO/Affirmative Action and safety. Provide advice regarding relationships and transactions with customers, subcontractors, vendors and government agencies, as needed. Assist in the preparation, review, and negotiation of documents for complex customer transactions, as needed. Prepare and review other documents to assist the business functions of the company and its affiliates. Assist the company secretary in the preparation of corporate filings. Serve on committees for and assist in the formulation and implementation of policies and practices. Secure and manage outside counsel, as needed, to ensure that the company is adequately represented as matters arise.
The successful candidate will have a degree from an accredited law school, be licensed to practice law in the State of Connecticut, and have 5+ years of relevant experience in corporate or law firm settings. Preference will be given to candidates with 8 or more years of relevant experience. Knowledge of intellectual property law, mergers & acquisitions and liability insurance would be helpful. Must be proficient in legal research, including Lexis or Westlaw.
