The Manager, Compliance & Contract Management/Associate Corporate Counsel manages the credit union’s overall compliance with applicable rules, regulations and statutory requirements, provides research and analysis on legal issues as directed by management, and directs and implements the credit union’s contract and vendor management program. This is accomplished through implementation of a Compliance Management System and performance of the primary duties and responsibilities listed below. While implementing or recommending action to ensure compliance, the Manager, Compliance & Contract Management/Associate Corporate Counsel should be conscious of streamlining efforts, cost effectiveness, safety and soundness, and proper maintenance of the internal control structure.
Monitors and analyzes developing trends and changes in regulatory compliance laws, rules and regulations, and advises management of the operational impact of such trends and changes. Assists in the implementation of new and regulatory changes as necessary.
Coordinates analysis and creation of written responses to proposed new regulations and/or amendments to existing regulations within allotted time frames established by the regulatory agencies.
Manages and implements vendor management compliance processes and workflows, including without limitation, vendor vetting, due diligence, and contract review, negotiation, approval and execution processes.
Develops, participates in, and reviews proposed changes to credit union policies and procedures for compliance with applicable laws and regulations; provides recommendations for any necessary changes.
Reviews, revises and develops credit union forms, contracts, agreements, and disclosures to ensure compliance with applicable laws, rules, policies, and regulations. Interfaces with other internal or external counsel and/or insurers to ensure that the terms and conditions set forth in forms, contracts, agreements and disclosures are accurate, complete, meet the needs of, and properly protect the credit union.
Directs the completion of compliance reviews in accordance with established standards and practices.
Coordinates the research of individual regulatory-related matters (i.e., practices, proposals, etc.), identifies and communicates regulatory compliance, deficiencies or potential problems, and provides guidance in the development of alternative solutions or implementation of corrective action.
Provides written responses (as applicable) to inquiries of a regulatory nature, including supporting analysis, conclusions and recommendations upon well-investigated and documented research of regulatory requirements.
Participates in new product development and provides input regarding compliance concerns relevant to proposed and current products and services offered by the credit union.
Ensures the adequate review of system programming changes which affect compliance and provides comment as to whether the requested programming changes comply with applicable regulations.
Ensures the adequate review of advertising and marketing material for compliance as directed.
Provides support to staff and management working with federal examiners during compliance-related examinations.
Develops and maintains a current library of compliance resources and provide informational assistance as requested.
Prepares regulatory-related documentation and policy statements requiring adoption by the board or periodic board review and approval as directed.
Implements, coordinates, and facilitates the credit union’s various compliance committees.
Carries out supervisory responsibilities in accordance with the organization's policies and applicable laws. Responsibilities include interviewing, hiring, and training employees; planning, assigning, and directing work; appraising performance; rewarding and disciplining employees; addressing complaints and resolving problems.
Six years of legal and regulatory experience in a financial institution, trade association, government agency, or law firm.
Juris Doctorate from an accredited law school.
Member in good standing with the State Bar of California, admitted to practice law in the State of California.
Comprehensive knowledge of federal laws, regulations, guidelines, interpretive rulings and policy statements, federal bylaws, legal opinions, and court rulings impacting credit unions.
Proven analytical and written skills to translate complex legal information into plain English so that stakeholders can understand what actions they must take to comply with laws, regulations and other mandates, and provide workable recommendations and solutions to problems.
Well-organized, efficient, detail-oriented self-starter, able to work independently.
Broad knowledge of, and practical experience with, credit union or other financial institution operating areas, functions, products and services.
Ability to handle simultaneously, multiple tasks and changing priorities in an efficient and effective manner.
Excellent oral and written communication, negotiation, presentation, and interpersonal skills. • The ability to work with all levels of management, credit union staff, and members.
A track record of effective management and mentoring skills.
Must be proficient with Word, Excel, PowerPoint, Outlook, and internet research techniques and software.
