Pansophic Learning is seeking a mid to senior-level Associate to join the legal team of a dynamic, high-growth international education company as Associate General Counsel, Mergers & Acquisitions. This is a McLean, Virginia-based position.
The Associate General Counsel, Mergers & Acquisitions, will serve as a strategic adviser and business executive within the legal team.
Reporting to the General Counsel of Pansophic Learning, you will be primarily responsible for managing the legal side of Pansophic Learning’s significant merger and acquisition program in the child care center division known as Early Learning Academies. This division has acquired over 30 locations in six transactions since 2017. In addition, you will at times support general corporate initiatives throughout Pansophic Learning’s varied business units.
Primary (“first chair”) responsibility for all legal aspects of our M&A transactions, including:
Negotiating and drafting transaction documents
Performing due diligence
Coordinating internal and external legal teams
Advising internal constituents
Provide post-closing support as necessary
Provide counsel to the Pansophic Learning executive team and divisional senior staff on a range of compliance, risk management and corporate governance matters and practices.
Support day-to-day legal operations and staff
Provide practical legal advice and support across all business functions, including business development, marketing, human resources and operations.
Build, develop and maintain infrastructure, policies and practices to support the expansion of the Company.
Coordinate with external tax counsel on matters of corporate structure and tax issues.
Job Requirements and Experience:
Prior experience in a law firm or as a corporate attorney with emphasis on Mergers & Acquisitions.
Preferred candidates will have a minimum of 3 years’ experience representing public or private companies in mergers and acquisitions and related corporate matters, such as investment/finance transactions, joint ventures, and general corporate matters.
Strong entrepreneurial spirit with ability to develop appropriate processes to manage growth.
Ability to work in fast paced, high pressure and rapidly changing environments.
Creativity, flexibility and enthusiasm
Hands on approach and high level of attention to operational execution.
High energy level and demonstrated ability to coach and guide multiple objectives and initiatives simultaneously.
Excellent communication skills with the proven ability to convey legal advice clearly and effectively.

Strong understanding of regulatory compliance as it relates to corporate governance and risk management.
Minimum Education Required:
Must be a graduate of an accredited law school and a member in good standing of at least one state bar.
