Employment/HR, General Commercial/Contracts, Transactions
This Novus lawyer will partner with and advise the Novus business team, with emphasis on transactional matters, including the negotiation, drafting and interpretation of complex long-term supply and services agreements, and the possible formation and operation of joint ventures or other strategic alliances with significant Company partners. Experience dealing with employment matters, either in the U.S. or ex-U.S., is also desired. The role will work with and report to the General Counsel and work side-by-side with Company managers and executives to advise and work on Company legal matters to ensure Novus’s business has the legal protections it needs considering the risks involved.
As Novus continues to expand internationally, and its business becomes more diverse and complex, the role will have the opportunity to work on major projects that will directly contribute to and influence the future direction of the Company. The successful candidate must be willing to work within a fast-paced, often stress-filled environment where extensive legal knowledge, coupled with creativity and the ability to “think outside the box”, are the keys to success. Travel required up to approximately 20%.
Providing global legal advice to management on a wide variety of issues.
Advising/negotiating, drafting, and reviewing all types of agreements for various transactions, including consulting, supply, distribution, manufacturing, research, sales and services agreements.
Advising the Company on transactional matters including M&A activities, e.g. overseeing and managing the due diligence process, drafting and reviewing transactional documents as needed, providing support on related labor, intellectual property, regulatory issues.
Advising on employment issues, with the assistance of outside counsel, as appropriate.
Working with, managing and ensuring cost effective services from outside counsel.
Assisting in the development of the annual legal budget and providing input on managing costs to keep legal expenses in-line with budgeted amounts.
Advising on other legal matters that relate to any and all aspects of the Company’s business, particularly related to general corporate and international matters.
Requires at least 8 years of hands-on experience in legal matters related to complex transactions. Corporate in-house law experience supporting a variety of functions preferred.
Experience handling employment law matters either domestically or internationally desired.
Experience either as a strong supporter of or directly responsible for components of M&A transactions a plus.
A degree of scientific/chemical industry background or experience helpful.
Prefer an individual who has worked for an organization with an international (ex-U.S.) operational presence or having foreign (ex-U.S.) ownership.
Superior communication skills including excellent command of the English language (spoken and written) with the ability to tailor style, content and delivery to a wide range of clients.
Licensed to practice in Missouri or willing to become licensed.
Must be willing to travel domestically and internationally. Travel estimated to be about 20% annually.
Excellent drafting skills and experience drafting complex contracts.
Excellent presentation and relationship-building skills; sensitive to cultural differences within a global organization and resulting impact on work environment and legal compliance.
Education/Credentials Candidates will possess a JD and be licensed to practice in Missouri (or willing to apply for admission from another state). For practice in Missouri, must be admitted pursuant to Rule 8 or Rule 8.105 of the Supreme Court Rules of the State of Missouri pursuant to Rule 4—Rules Governing the Missouri Bar and the Judiciary—Rules of Professional Conduct, Rule 4-5.5(d).
Professional Experience Candidates for the position will have previous experience working within a corporate legal department or law firm.
