Cognizant is seeking a Director or Senior Director level in-house attorney to join our IP & Technology Transactions team within the Legal Department, preferably in the Denver office but we will also consider a remote work arrangement. This individual will primarily act as a subject matter expert in the negotiation of complex IP terms in master services agreements, providing support to Cognizant’s commercial team that leads contracting activities with our clients.
The person in this role should have a deep understanding of and extensive experience negotiating IP terms for complex technology services arrangements, such as ITO, IT infrastructure, business process outsourcing, cloud, custom software development, digital transformation and business-process-as-a-service. Knowledge of digital technologies, including artificial intelligence, machine learning, RPA/IPA, blockchain, robotics, mobile apps, etc. is a major plus.
He or she will also support the development of playbook positions for IP terms and conduct training for commercial attorneys. A deep understanding of patent, copyright, trademark, trade secret and open source software concepts is required, as is extensive commercial software licensing experience. Patent litigation or patent prosecution experience is preferred. Solid, effective negotiation and relationship management skills are critical in this position. The person in this role will need to develop collaborative relationships with internal clients and colleagues.
Specific Job Responsibilities
Working with the other members of the Cognizant Legal Department, this attorney is responsible for the following:
Reviewing, drafting and negotiating IP terms in complex master services agreements for large-scale IT services engagements, including ITO, IT infrastructure, BPO/BPS, cloud, custom software development, digital transformation and BPaaS
Developing IP playbook positions for IP terms in complex services engagements
Assisting commercial attorneys with, and training commercial attorneys on, IP and licensing terms in client agreements
The candidate must have a law degree from an accredited law school and a minimum of 10 years of experience negotiating complex license and technology transaction agreements against the most sophisticated clients and law firms. Other factors considered:
