Rare opportunity for Corporate Governance exposure while working in a business.
The Associate General Counsel – Americas (AGC) will serve a critical role in Nouryon’s Performance Formulations North American business, as well as assist with corporate governance issues for the parent company. The AGC will handle legal matters with significant opportunity and interact with the most senior business leadership. The AGC will also support certain functions in the region, including potentially corporate governance, procurement, real estate and/or human resources. The AGC will report to the General Counsel America, with a dotted line to Deputy General Counsel. S/he will have opportunities to work directly with the General Counsel and Deputy General Counsel on special projects, including matters involving the Board of Directors and C-Suite.
This individual will also support compliance-related challenges in concert with the Chief Compliance Officer and Regional Compliance Counsel, including re data privacy, corporate governance, internal investigations and other regulatory matters. This position will also involve responsibility for international matters from time to time.
This lawyer must be an excellent business advisor and counselor who is hard-charging (yet tactful), high-energy, dynamic, a problem-solver and a self-starter who will communicate clearly, be responsive, engaged in the business, and proactive. S/he needs to act with a high level of independence, while safeguarding the Company’s strategic objectives from a legal perspective. Also requires willingness to “pitch in” on areas of need in Legal Department, even if outside core set of responsibilities.
This lawyer will: Manage and provide legal services to the Nouryon Performance Formulations business in North America, including the drafting and hands on negotiation of a variety of commercial and other agreements and corporate documents. Provide employment law support to certain functions and the business in North America. Provide support for compliance, M&A and corporate law on various matters.
· Strong academic credentials, including a J.D. or equivalent degree from a well-respected U.S. law school
· Licensed to practice in at least one state
· 6+ years relevant working experience, with strong training at an (inter)national law firm. Prior in-house experience strongly preferred.
· Broad exposure to multiple legal matters including labor and employment and compliance.
· Extensive experience in drafting, reviewing and negotiating a wide range of commercial agreements and other legal documents (including sales and purchase contracts and distribution agreements).
· Experience in supporting M&A transactions, including due diligence reviews and integration planning/implementation.
· Solid dispute resolution experience, solid command of antitrust principles.
Team Player - ability to work well and build relationships across all levels of the organization and be highly effective and able to maximize the efficiency of the legal department; have the desire to work on numerous and varied matters arising in an in-house legal department.
