Overview: Reporting to the CEO, the Chief Legal Officer (CLO) will serve as a member of the senior executive team and is responsible for all legal affairs of the Corporation. Initially, the CLO will oversee all legal activities supporting an anticipated IPO of AZEK. S/he will be responsible for documentation of Board actions and will provide corporate governance guidance to the Board. The CLO will oversee all matters related to SEC filings and activities and act as Compliance Officer with respect to insider trading activity. In conjunction with the CHRO, the CLO owns the implementation of and compliance with the Company’s Code of Conduct and promotes ethical business practices throughout the Company. S/he will oversee the review of all contracts, serve as senior risk officer with respect to insurance matters, and oversee the negotiation, documentation and risk assessment of AZEK’s acquisitions.

Its products are industry-leading brands of highly engineered residential, commercial and industrial materials that provide value through lower maintenance, refined aesthetics and reduced total cost. In addition, it has highly automated manufacturing facilities in Scranton, Pennsylvania, Wilmington, Ohio, Aliquippa, Pennsylvania and Eagan, Minnesota. AZEK has approximately 1,300 employees in total. It maintains a highly developed distribution network and is a provider to such retailers as Home Depot and Lowe’s. With about $800 million in annual sales, AZEK maintains a strong year-over-year growth rate of 15-17%.
Compensation: Competitive salary and benefits
Experience: 15+ years of legal experience with a strong background as a corporate generalist who has handled IPOs, business law matters, contracts, public company governance, litigation management, complex transactions (including M&A), intellectual property, ethics and compliance, and legal department management, among other areas. The successful candidate will also have demonstrated leadership skills and strong management experience. A combination of top tier law firm and in-house experience strongly is preferred, and prior experience as a public company General Counsel or Chief Legal Officer is required. Distribution or construction-related business experience is a plus.
