LEADERSHIP ROLE AND ACCOUNTABILITIES
The General Counsel role has two key elements: to provide strong leadership and management to the Corporate Legal Services (CLS) team; and to provide collaborative, proactive, value-added professional advice and support to the President, other executives and managers of PSECU, and the Board, on critical legal and policy issues.
Primary Position Objectives:
Providing strong leadership to management of CLS.
Developing and implementing a vision and strategic plan for the credit union’s Legal Services department.
Leading the legal team, setting objectives, and ensuring the design and implementation of an effective performance management system.
Working collaboratively with the business units to support PSECU’s functions and businesses through the delivery of legal support and guidance.
Establishing and managing a budget for the credit union’s Legal Services department, ensuring compliance with the budget, predictability of legal costs, establishing levels of accountability and evaluating results.
Deploying the resources and intellectual capital to further PSECU’s strategic objectives within a legal risk control framework comprising policies, principles, and standards.
Benchmarking the capability of the department against best practice standards, ensuring that value is delivered from each part of the department.
Ensuring an appropriate supply of legal talent to the credit union.
Providing proactive, value-added professional advice and support to the President and Senior Management on business-critical legal and policy issues, including transactions.
Ensuring that PSECU operates within an appropriate legal governance framework, taking ultimate accountability for identification and management of all legal risks across the organization.
Ensuring effectiveness and efficiency of performance across all areas of CLS to deliver an explicitly competitive performance against best practice benchmarks, balancing the appropriate use of internal and external legal expertise.
Identifying and prioritizing the response to areas of legal risk and setting the framework for legal policies within CLS.
Advising the President, Senior Management and the Board on legal risk and other strategic issues that have a legal impact.
Ensuring that issues of materiality are brought to the attention of the President, as appropriate. Advising/leading on the legal aspects of significant projects or transactions taking place within the credit union.
Monitoring relevant changes to the law; providing advice and direction on policies, procedures, and practices necessary to conform in order to reduce risk.
Ensuring appropriate legal representation at all relevant organizational levels.
Accountability for the management of the credit union’s relationships with its external legal providers, ensuring that all relationships are effective, cost efficient and contribute to the maintenance of effective and constructive relationships with PSECU’s stakeholders.
Extensive working knowledge of strategic business and financial planning processing including operational and legal risk management methodologies.
Definitively demonstrating experience and credibility in operating at the executive and board levels, maintaining objectivity and driving appropriate outcomes, while managing various stakeholders’ agendas and customer service standards.
Extensive, successful track records in change-oriented operational management and people leadership sufficient to lead and motivate a professional workforce faced with significant change and increasing service expectations to a high-performance organization.
Acting as a confidential advisor/counselor to the Board of Directors, President and Senior Management; role model in a multi-functional, multi-cultural working environment with significant experience in diversity issues.
ESSENTIAL KNOWLEDGE, SKILLS AND ABILITIES
Knowledge: Maintain required knowledge, skills and abilities in assigned area of expertise, including the laws, standards, fundamentals, methods, procedures, and techniques required for the job. Maintain up-to-date knowledge of PSECU’s Collective Bargaining Unit Agreement, processes, related business processes, and the business world outside PSECU. Maintain knowledge of PSECU’s goals, culture, philosophy, products and services, bylaws, policies, and internal practices.

People Management and Development: Supervise workflow and staff, using PSECU’s coaching style of management (1-on-1 dialoguing regularly, delegating effectively, setting expectations and goals, proving ongoing training, providing development opportunities, holding staff accountable in accordance with the credit union’s performance management process).
Responsible for ensuring that all selection, promotional and training practices within the department are handled in accordance with the organization’s Equal Employment Opportunity Commission (EEOC) and Diversity & Inclusion initiatives.
Proficiency with Microsoft Office.
Maintain regular and consistent attendance as required for acceptable performance and accountabilities of this position.
Maintain confidentiality, in particular with credit union account information, as well as other information designated as confidential.
Responsible for the establishment and ongoing maintenance of an effective system of internal control within the scope of assigned job responsibilities.

Experience in a wide range of legal issues including corporate/commercial, M&A, regulatory, real estate, employment, tax, litigation, compliance and corporate governance.
Proven track record structuring, negotiating, drafting and closing complex financial and commercial arrangements.
Experience working with and presenting to Boards of Directors and sensitivity to Board concerns.
Strategic perspective and the ability to contribute to commercial and business issues.
Ability to manage a team of best-in-class talent.
Effective selection and management of external counsel.
Highest standards of personal integrity supported by open and honest communication.
Comfortable leading through influence as opposed to hierarchy.
Excellent negotiating skills with a “best for business” mandate.
Receptive listener with a customer-service orientation.
PA Bar Membership preferred.
Graduate of an ABA-accredited law school and admitted to practice (in good standing) or eligible for admission to practice in the Commonwealth of Pennsylvania.
