Equity International, a Chicago private equity firm, is seeking an Associate General Counsel with 15+ years’ corporate or real estate transactional experience.
Job Specifications: The Associate General Counsel will report to and work with the Chief Legal Officer and other investment professionals in negotiating complex business transactions and raising capital, with an emphasis on:
Work with CLO and the EI investment team in the development, structuring, and negotiation of direct private investments. Investments range in security type, portfolio company industry and asset class, portfolio company geographies, ownership stakes (control, minority), and partner dynamics. Investments may be fund investments, co-investments, or other arrangements.
Draft and negotiate, or work with outside counsel in drafting and negotiation of, transaction documents, including term sheets, purchase and sale agreements, shareholder agreements, employment agreements and related deal documents.
Oversight and evaluation of legal due diligence, including FCPA.
Support EI investment team and portfolio companies in transactions and other matters at the portfolio-company level.
Work with EI’s tax director to create tax efficient investment structures.
Private Equity Fundraising:
Work closely with CFO and CLO on capital fund-raising, corporate compliance program and other regulatory filings.
Draft/review PPMs and other offering documents for funds, co-investments, joint ventures and other investment vehicles.
Draft/review limited partnership agreements and side letters.
Oversee investor subscription process.
Candidates will be licensed to practice in the State of Illinois with 15+ years of strong corporate or real estate transactional experience.
Strong verbal and written communication skills and proven negotiation ability.
Excellent interpersonal skills, with an ability to interface with colleagues, investors and portfolio companies.
Private Equity experience and Spanish or Portuguese language skills is a plus, but not required.
