We have an opening for a Due Diligence Attorney (Mergers & Acquisitions) in our Houston office.
The Due Diligence Attorney performs substantive due diligence as a member of the Firm’s Due Diligence Center and will report to the Special Counsel, Due Diligence.
In this capacity, the Due Diligence Attorney will:
Perform due diligence review in connection with client business transactions, including mergers and acquisitions, financings and other business transactions;
Create due diligence summaries and reports using legal project management software and other technology tools;
Under the supervision of the Special Counsel, Due Diligence, coordinate with deal teams to facilitate the completion of due diligence projects;
Assist Special Counsel, Due Diligence in coordinating due diligence review by the Firm’s attorney subject matter specialists, including tax, environmental, real estate, benefits and regulatory;
Assist Special Counsel, Due Diligence in identifying efficiency opportunities and/or enhancements in the performance of the Due Diligence Center;
Prepare and comment on disclosure schedules;
Review and negotiate non-disclosure and non-reliance agreements;
Coordinate with peers, as appropriate, to ensure best practices in due diligence;
Manage projects to ensure that the work product is delivered accurately and on time;
Work beyond scheduled hours as necessary and travel as required; and
Handle additional related projects as requested.
Advanced legal knowledge and practice skills of due diligence in the context of Mergers & Acquisitions;
Advanced knowledge of the workflows of performing due diligence;
Advanced proficiency in Microsoft Office Suite applications, specifically Word and Excel;
Proficiency in drafting due diligence reports and related legal transactional documents;
Expert proficiency in the English language, including punctuation, spelling, grammar and writing skills;
Proficiency in document management search functionality and systems;
Proficiency in the use of legal technologies, such as Inter/Intra/Extranet technologies, legal research databases;
Must have (i) law degree and (ii) current bar admission in the respective jurisdiction in which they sit and in a state in which Paul Hastings has an office location; and
At least 2-3 years of law firm practitioner experience in the area of Mergers & Acquisitions with experience performing due diligence.
