The Vice President, Intellectual Property Counsel position is a senior attorney position that will report to the Chief Legal Officer and be intimately involved with supporting the entire company and working with its clients and attorneys, taking the lead on managing a complex international intellectual property portfolio, as well as a variety of legal projects as both the legal and business advisor. The role will function within a flat department, which means the attorney will work independently and directly with the Deputy General Counsel, Chief Legal Officer and other senior executives within the company on a variety of projects. The department does not focus on titles and instead works hard to provide sound legal guidance in a business-friendly, helpful manner, while leaving attitude and ego at the door. The Vice President, Intellectual Property Counsel must possess a strong analytical and detail-oriented skill set in order to evaluate the complex issues affecting the company and offer practical solutions. S/he must also have exceptionally strong business acumen and the ability to work effectively and efficiently on multiple projects in a busy work environment, while being a critical (and often autonomous) go-to partner for fellow peers in the company and legal department.

Oversee management of complex and large international intellectual property portfolio, including frequent strategic analysis on ability to use new marks and logos, and balancing broad protection with cost effectiveness in trademark, copyright and patent filings.
Oversee and lead brand protection efforts at both the company and product brand levels, including initiating and responding to potential infringement and counterfeit concerns.
Manage two dedicated members of the legal department focused on brand protection.
Provide broad-based legal support to fellow attorneys and peers within the company and legal department and communicate legal issues within a business-first approach in a concise and timely manner to clients.
Draft, review and negotiate commercial contracts and transactions relating to a variety of complex areas, including IT, talent, vendor, marketing, operations, sponsorship, events, and consultant agreements.
Review and approve various marketing and sales copy/materials, including website, print, and social media content.
Review and approve various mobile app and other digital materials.
Draft rules for numerous contests and sweepstakes promoted by the company, including in multiple countries.
Assist supervising attorneys with litigation support, including gathering relevant documents and materials, preparing and reviewing responses to discovery, and engaging in litigation research.
Assist with the company’s international expansion initiatives, including corporate and entity structuring.
Strong academic credentials including a J.D. degree from a top law school.
8-15 years of experience; a mix of corporate law firm and in-house experience is preferred, but in-house experience is MANDATORY.
Minimum of 5 years specialized in intellectual property portfolio management and brand protection.
Must be familiar with reviewing, drafting and negotiating a variety of commercial contracts, while understanding the nuances and interplay between various provisions and the impact on the company’s legal exposure (e.g., reps/warranties, indemnification, limitation of liabilities and insurance coverage).

Ability to balance a complex and demanding workload to move quickly and efficiently without sacrificing quality.
Desire to be a key part of the business and provide as much business advice as legal advice.
