The Assistant General Counsel - Corporate/Regulatory will primarily advise management regarding corporate and regulatory issues concerning the business. Counsel will identify legal issues and risk associated with various corporate agreements and practices. This position will also support the General Counsel as necessary concerning various legal issues affecting the company.
ESSENTIAL FUNCTIONS AND RESPONSIBILITIES:
Provide oral and written interpretation, analysis, and opinions regarding statutes, regulations, binding sub-regulatory guidance, policies and procedures, contracts, and business associate agreements.
Review business materials for compliance with relevant statutes, regulations, binding sub-regulatory guidance, policies and procedures.
Assist business unit with understanding and implementing compliance with regulatory standards.
Assist in responding to inquiries from state and federal regulatory agencies.
Investigate and manage external complaints, including regulatory investigations, and prepare written responses to allegations.
Assist in managing relationships with regulatory agencies and seek to resolve policy issues which may negatively impact the business.
Lead special projects concerning regulatory issues.
Perform legal research regarding the propriety of current or proposed courses of action.
Perform research and advise the business unit related to the provision of services via telemedicine.
Assist in understanding the applicability of new laws or rules to the company’s business.
Maintain and review regulatory documentation necessary to maintain corporate standards.
Review, analyze, and revise significant and/or unique contract requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations, as well as corporate and business unit policies and strategy.
Review and revise corporate contracts.
Interact with executives, business unit management teams, vendors, and outside counsel.
Uphold strict confidentiality at all times regarding all company information, including pending and completed negotiations and agreements.
Provide cross-functional legal support, management, and training as requested.
Perform other duties as assigned by the General Counsel.
Juris Doctor from an ABA-accredited law school
State Bar Membership required (Florida, Texas, and/or California preferred).
5+ years of experience practicing health care law at: (1) a private law firm; (2) the legal or compliance department of a healthcare company, or (3) a state or federal regulatory agency focused on healthcare.
Strong contract negotiation and management experience necessary.
Excellent communication (written and verbal) skills; ability to communicate and interact effectively and appropriately with diverse backgrounds and levels of the organization.
Ability to work independently while delivering excellent business results under demanding timetables.
Strong research and analysis skills.
High level of ethics and integrity.
Strong knowledge of attorney-client privilege and confidentiality, particularly in a corporate setting.
