We are conducting an exclusive Senior Corporate Counsel search for our client who is a industry leader in full service real estate development.
This position offers exciting work on a broad range of matters at a very dynamic, collegial and entrepreneurial company, as well as an attractive opportunity to advance.
The Senior Corporate Counsel will be primarily responsible for providing strategic and commercially-focused legal advice and support related to Company's luxury resort developments and corporate projects, including new transactions.
The Senior Corporate Counsel will work in and support the Company's Los Angeles office and regional offices and projects.
The Senior Corporate Counsel will provide analysis, advice, transaction leadership and support to the Company's various business units (including Finance, Investments, Development, Tax/Accounting, and Legal), and will be experienced at handling a wide variety of real estate transactions (from letter of intent to closing), including: property acquisitions/dispositions, joint ventures/equity financings, debt financings, leasing, and hotel and brand management agreements, licensing and franchise agreements.
The Senior Corporate Counsel will be expected to counsel the business in several non-real estate related areas, including intellectual property, privacy, marketing, regulatory compliance, employment, risk management, dispute resolution, and general corporate.
This position will be an integral part of the “deal making” process where business sense will be as important as legal acumen.
This role will report directly to the Director of Business & Legal Affairs.
Occasional travel required.
Draft, review and negotiate a wide variety of real estate related agreements, including transaction agreements and related documents
Assist with corporate governance, including forming new entities and preparing consent and resolutions
Manage legal transactions from inception through closing
Provide well-reasoned and practical legal advice and counsel in a timely fashion to the legal team, business units and other senior management
Resolve a variety of disputes and potential claims
Work with and supervise outside counsel on various legal matters as appropriate
Provide support to the business on other legal matters on an as-needed basis
Doctor of Jurisprudence (J.D.) from a top tier U.S. law school and excellent academic credentials.
Transactional experience from a top-tier law firm.
Stable work history.
Member in good standing of the California Bar
6+ years of significant experience in commercial and hospitality real estate transactions including acquisitions, dispositions, joint ventures, financings and developments gained within a law firm or in-house law department.
Experience in drafting and negotiating commercial and hospitality real estate transaction documents.
Must be a strategic thinker and a decisive, trusted advisor with strong attention to detail and ability to work in a fast-paced environment.
Executive presence and excellent law school credentials are required.
Familiarity with land use, environmental, and condominium law a plus.
