Our client, The Federal Home Loan Bank of San Francisco, is seeking in-house counsel to join their legal department in a Managing Director role. The Federal Home Loan Bank of San Francisco is a wholesale bank that helps meet community credit needs by providing readily available, competitively priced credit products and services to member financial institutions through all phases of the economic cycle. Their members include commercial banks, credit unions, industrial loan companies, savings institutions, insurance companies, and community development financial institutions headquartered in Arizona, California, and Nevada.
The Managing Director will play a pivotal role in the expansion of the legal team and support the General Counsel and other attorneys in the Legal Department, in the following areas:
Representing and advocating the Bank’s position in meetings with representatives of the Federal Housing Finance Agency (FHFA); external auditors, members; non-member third-parties, and others; and in correspondence and memoranda in connection with the Bank’s business and operations.
Reviewing, drafting, and negotiating a variety of complex financial transaction documents relating to the Bank’s capital markets products, credit products, mortgage products, and secured lending arrangements and provide advice to the business unit clients regarding legal risks associated with such transactions.
Providing legal advice and support to the Bank’s business units, including the credit, collateral, mortgage finance, marketing, community investment, capital markets, human resources, risk, and operations teams, in connection with all aspects of the Bank’s products and services.
Participating in meetings and providing legal advice to standing committees of the Bank and other interdepartmental committees and task forces, as assigned, to ensure compliance with applicable laws, regulations, and policies and to protect the Bank from legal risks.
Acting as a liaison between the Bank, the FHFA, and the other System Banks in connection with significant legal and policy issues, including those respecting the Bank’s responsibilities and authorities as a government sponsored enterprise.
Actively participating in work of the System counsel subcommittees and task forces on a variety of system issues, as needed.
Providing legal advice and support to various Bank departments regarding general corporate governance matters, as needed, and draft memoranda, minutes and resolutions, as appropriate, in connection with matters presented to or acted upon by Bank management or the Bank’s Board of Directors.
Providing litigation support, including responding to subpoenas, assisting with discovery requests, and managing outside counsel, as needed.
The successful candidate must possess the following:
A JD degree with bar admission in any state and California admission within a specified period.
5-7 years experience in a comparable legal position either at a firm or in-house with a focus on financial institutions, regulatory, commercial, or corporate law.
Broad general knowledge and understanding of banking and financial markets, and financial statements.
Excellent writing and research skills.
Excellent communication, organizational, interpersonal, client relations and team skills, including the ability to build consensus on difficult legal and business issues.
