Corporate Generalist, General Commercial/Contracts, Non-Profit Associations
The PeterSan Group has been retained by a dynamic, growing non-profit organization headquartered in New York City, is seeking an experienced attorney to serve as their Chief Legal Officer. This role will be responsible for leading and representing the organization’s corporate strategic and tactical legal initiatives worldwide. The CLO is expected to be a highly engaged leader who adds a strong law background to the team and remains active in the practice of law. The CLO is expected to provide a strategic, proactive, and collaborative approach to the legal framework of global business issues.
The CLO works closely with members of the Board to provide legal counsel for short- and long-term strategic plans. This role is directly involved in negotiating complex transactions and critical contracts and provides strategic legal counsel to the leadership team; strategic, institution-wide, decision-making guidance; and, day-to-day counsel to leadership on mission- and business-related matters.
Responsibilities for this role will include the following:
Provide strategic legal advice and analysis to senior leadership regarding legal matters, including legal review and advice on upside, risk, and implications of new projects, programs, and business arrangements to support strategic, and operational decision-making.
Be a thought partner to senior staff and volunteer leadership to help design, plan, and implement strategic initiatives.
Supervise the flow of contracts. Assist with contract negotiations. Contracts include, but are not limited, to non-disclosure agreements, confidentiality agreements, indemnification agreements, investment agreements, licensing agreements, service provider contracts, capital purchase agreements and employment agreements.
Provide legal counsel to leadership on disputes which may lead to litigation; monitor and resolve disputes as appropriate.
Oversee copyright issues related to webcasting, music, social media, publications, and general intellectual property and communications.
Oversee the legal representation of the organization in real estate transactions and issues of real property and land use.
Manage and optimize all real estate deals, proposals, and contracts.
Manage and perform specific legal research, fact-finding activities, and investigations as deemed appropriate.
Candidates must have the following qualifications in order to be considered:
A minimum of ten years’ experience as a practicing attorney, preferably with experience working in both non- and for-profit organizations.
Prior practice in a prominent law firm.
Demonstrated success managing in-house and external counsel of a large, complex, integrated organization.
Experience working with board of directors, audit, and other board committees.
A track record of building high performance teams.
A record of good judgment, risk awareness, effective interpersonal skills, and successful management of staff and client relationships.
Expert priority-setting and project management skills and demonstrated ability to manage a large and varied workload.
Skilled at working collaboratively with colleagues and partners from varied backgrounds.
