Hyperion Materials & Technologies is seeking a business-minded, self-motivated corporate attorney to join its Legal Department as Assistant General Counsel. This position will be responsible for: (i) identifying risks, developing business-focused solutions, and managing legal exposure; (ii) ensuring compliance with Company policies; and (iii) promoting best practices regarding risk management and fiscal responsibility enterprise-wide, with a focus on commercial matters, employment, business and trade compliance, M&A and corporate governance.
The Assistant General Counsel will act as a true business partner to senior management on all aspects of the Company’s business and will be a key contributor to the development and implementation of business strategies. The successful candidate will possess strong business acumen and will report to the Company’s General Counsel. He/she will play a critical role in supporting and advancing the goals of the overall legal function. This is a position for a highly effective legal professional with 8 - 12 years of proven practice experience in both a law firm and an in-house company legal department.

The key responsibilities of this role include:
Advise the Company on day to day issues related to commercial matters, contracts, strategic initiatives and business processes. Assist with negotiating and drafting a broad range commercial contracts including terms & conditions of sale, supply, procurement, non-disclosure, distribution and consulting agreements;
Support the HR Department on a wide range of employment-related legal matters, including employee relations, terminations, discipline, wage and hour compliance and disputes, investigations, leaves of absence, employment-related agreements/documents, harassment/discrimination issues, and disability/reasonable accommodation issues;
Assist with all compliance matters and provide advice, as well as training, on a range of compliance matters, including anti-bribery, anti-corruption, data privacy, antitrust, trade compliance and other ethical business practices;
Support the Company’s domestic and international M&A activity, including drafting of principal and ancillary transaction documentation, coordination of due diligence and anti-trust and other regulatory filings; and
Support the Company’s corporate secretarial activities, including subsidiary governance globally and preparation and administration of Board of Directors meetings.
Qualifications and Competencies:
U.S. qualified lawyer with admission to practice in at least one state.
8 - 12 years’ experience in a similar in-house role or commercial law firm. In house experience is essential.
Experience working with an international or cross-border company in Asia, Europe and/or South America.
Possess a practical, business-oriented approach to problem-solving and be able to effectively counsel internal clients by providing them with clear and concise advice and creative solutions on timelines to meet business needs
Ability to manage a high volume of diverse tasks is essential. Exhibits a “take charge” attitude and takes pride in work. Should set challenging standards and expectations and be accomplishment focused.
Be self-motivated and able to work independently with little supervision or administrative support, but also accept direction from Hyperion’s General Counsel.
Possess a true business mindset understanding the key drivers behind top and bottom line growth and how legal risk affects them.
Inspire trust and confidence through his/her natural authority and personal power; demonstrated ability to build rapport with employees at all levels of the company
