Reporting to the General Counsel, the VP &Assistant General Counsel will lead the Life & Retirement practice area and supervise, train, and mentor junior attorneys and staff. He/she will have a thorough understanding of company policies and objectives and under general supervision will manage responsibilities of the Law Division as assigned. His or her work generally involves handling or directing matters of importance and impact on the organization and providing assistance on critical matters. This position is for an experienced attorney with thorough competence in several legal areas of concentration and broad-based experience, maturity, and sound judgment.
Advise on complex legal matters by utilizing legal expertise and strategic thinking to assess risk and recommend effective and appropriate solutions
Identify and evaluate legal risks by anticipating problems, tracking organizational developments and recommending solutions to proactively mitigate risks and limit company exposure to liability
Influence cross-functional decision-making by collaborating with internal partners and leading multi-disciplinary teams to guide development of company policies and best practices
Effectively manage resources by anticipating expenditures and accurately forecasting resource needs/costs
Create a positive environment by modeling cultural expectations and guiding leaders to reward performance, accountability, diversity and inclusion, flexibility, continuous improvement, collaboration, and creativity
Provide legal counsel and support in the financial services arena (life, annuity, retirement and disability), including but not limited to:
Variable insurance product matters, acting as Separate Account Chief Compliance Officer
Death and disability claims
Securities matters and broker-dealer and investment advisor activities
Insurance Department market conduct exams, FINRA and SEC exams, and annual internal audits
Compliance with applicable laws and regulations pertaining to employer plan service providers (including but not limited to ERISA and the Internal Revenue Code)
Anti-money laundering compliance
Legislative and regulatory developments
Review of advertising, training, and complaints
Provide assistance and support in management of litigation in the areas of responsibility
Advise the General Counsel and other members of executive management with respect to the duties and responsibilities outlined above
Juris Doctor from a law school accredited by the American Bar Association.
Must be admitted to practice law by a State Bar and be eligible to register as an In-House Counsel in the State of Illinois.
Ten (10) years broad-based legal experience.
Meaningful experience representing companies providing insurance and other financial services products.
Expertise in a technical legal practice
A strong desire to learn and assume ownership of highly complex, sometimes novel, legal issues.
Strong academic credentials
Excellent analytical, organizational, verbal and written communication skills.
Ability to provide top-quality, proactive, accurate and effective legal support in a fast moving environment.
Ability to effectively work with management and other personnel.
In-house legal department experience.
