Corporate Generalist, General Commercial/Contracts, Mergers/Acquisitions
We are searching for a Division Counsel to join our Law Department in our Malvern, PA North American headquarters location. The Division Counsel will be responsible for managing business law matters (including commercial litigation) for Saint-Gobain Corporation and its subsidiaries in the United States and Canada and in particular:
Providing day-to-day legal advice to senior and mid-level business managers in assigned business units in connection with business law and commercial litigation matters, including working on acquisitions, divestitures, joint ventures, and other strategic investments; recommending courses of action, selecting and directing outside counsel in connection with litigation; drafting, reviewing and negotiating contracts; and providing antitrust advice and counseling.
Managing external legal spend with a focus on delivering high quality work at a good value, including budgeting and AFAs where appropriate.
Assisting the Deputy General Counsel with projects.
B.A. or B.S. degree and a JD degree and admission in good standing to a state bar, preferably Pennsylvania.
A minimum of 6 years’ prior business law experience, in a law firm and/or a corporate law department. Both law firm and corporate experience is preferred.
Sound legal judgment and effective negotiating skills.
Practical and resourceful and able to communicate advice clearly to non-lawyers, both orally and in writing.
Able to reach independent conclusions on legal issues while working collaboratively with business managers and legal counterparts in Paris.
Periodic travel is required, often on short notice.
