Corporate Generalist, General Commercial/Contracts, Transactions
Our client, a Fortune 500 Corporation is seeking an Associate Division Counsel.
Essential Duties and Responsibilities:
Provide analysis and timely counsel on various legal issues, including medical device regulations, intellectual property, employment, mergers and acquisitions, data privacy, competition law, anti-corruption/anti-bribery laws, liability avoidance and sales and marketing related issues.
Independently draft, review, negotiate and advise on various agreements, including sales, services, supply, distribution, consulting, clinical study, non-disclosure, employment and other commercial agreements.
Conduct legal analysis and provide timely counsel on laws, rules, regulations, and policies related to interactions with healthcare professionals, both in the US and outside the US, including the US anti-kickback law, the FCPA and other local anti-corruption laws, and helping to ensure that the compliance program is robust and effective at minimizing risk.
Manage or assist in managing litigation and legal matters involving the division through interactions with in-house legal team and outside counsel.
Review marketing, promotional and scientific activities and materials for compliance with company policies and applicable laws and regulations.
Partner with the Compliance Department on compliance initiatives, policies and programs and ensure the division is in compliance with laws, rules, regulations and policies; assist the Compliance team in managing a robust compliance program to address key compliance risks.
Partner with Legal Department personnel supporting countries outside the US in connection with corporation’s legal and compliance matters.
Meet regularly with Contract Administrator(s) to provide guidance on commercial contracting matters.
Follow and implement internal processes and procedures to support compliant business operations.
Provide in-house training and education to business stakeholders to ensure an understanding of applicable laws, regulations and company policies.
Education and Special Trainings:
Juris Doctorate (J.D.) degree with a strong academic record.
Admitted to the Bar of at least one state and eligible for admission to the Virginia Bar as in-house counsel.
Qualifications and Experience:
Minimum 3 years' applicable professional experience; prior professional experience considered.
