As a complex and growing global enterprise, we have an exciting new opportunity for a Corporate Counsel supporting our International organization. The Corporate Counsel - International: (i) serves as the Company’s front-line transactional counsel and manages all aspects of deals, from structuring and strategy, through legal due diligence and documentation to closing for Gordon Brothers International (GBI); (ii) manages legal entity governance and general corporate matters for GBI, and (iii) oversees dispute resolution and litigation. The incumbent uses superior judgment, works closely and seamlessly with GBI management and deal teams on transactions, and identifies and resolves issues as needed to minimize risk. The Corporate Counsel – International reports to the General Counsel based in Boston, Massachusetts, USA but will be located with the GBI business team in its Central London office. The successful candidate can look forward to developing a keen understanding of the international business and play a key role in its success.
Advise the GBI deal teams on optimal legal strategy for the structuring of transactions in all of GBI’s jurisdictions.
Manage all aspects of legal due diligence for each transaction.
Together with the GBI deal team, prepare, review and negotiate to conclusion primary and ancillary legal documentation for GBI transactions, primarily across Europe, Africa and the Middle East (EMEA) but also in Asia Pacific and Brazil from time to time, such as agency and consulting agreements, purchase and sale agreements, loan and finance agreements, joint venture agreements, and other documents, contracts, and instruments for all deals originating from GBI.
Create and maintain form documents as needed and processes surrounding the contracting process and contract management.
Provide training on key legal topics.
Represent GBI as needed at client meetings and insolvency proceedings.
Maintain and manage a network of outside counsel, primarily in EMEA but also in other regions outside of North America, to support transactions and report on legal spend as part of a managed budget.
Maintain legal responsibility for post deal issues, including customer and third-party disputes, litigation and insurance matters.
Identify and advise General Counsel on risk and related issues, and provide suggestions for resolution.
Additional corporate legal work as needed, including corporate governance for GBI legal entities, employment agreements and disputes, operational licensing and registration, maintaining compliance with laws.
Requires ability to travel as needed (approximately 25-30% of time).
Qualified to practice in the UK, preferred.
Accumulated private practice and in-house experience with a minimum of 5 years PQE. Prior in-house experience not required but law firm practice experience is required.
Practice experience in retail and/or real estate, brand licensing and asset-based lending is helpful/preferred.
Right to work in the UK and demonstrated eligibility of such is required.

Able to leverage the transactional rigor obtained in a prior law firm practice but willing to step outside of the traditional solicitor-client dynamic, work in direct contact with the business and be part of business solutions.
Additional language skills not required but a plus.
Strong knowledge of the Microsoft Office suite (i.e. Word, Excel and PowerPoint).
Strong references from supervisors, peers, and clients.
