The Applied Law Department environment is fast paced, challenging, collegial and collaborative. This Director level software licensing attorney role will provide legal support and direction to Applied Global Services (AGS) Segment's Automation Products Group (APG). APG is the leading automation software supplier to the semiconductor, display and solar industries and has a pipeline of products to address new market opportunities.
Engage and provide legal support and direction to APG executive management regarding automation and technology focused aftermarket business, including APG’s growth into the pharma industry.
Directly negotiate or oversee the negotiation, structuring, and management of contractual documents that establish business relationships with customer and third parties.
Support and navigate a wide range of legal issues including, but not limited to, antitrust, intellectual property (creation, management, enforcement and infringement), licensing, UCC, trade, bankruptcy, employment, application of international law, tax, EH&S, and regulatory compliance
Provide proactive and strategic legal advice to executive staff, including attending and participating in all executive staff, operational and product meetings.
Engagement with internal IP and litigation counsel to enable IP (patent, copyright, trademark and trade secret) procurement and enforcement strategies that drive meaningful impact to the business.
Manage the generation of template agreement and legal support process/cycle time improvements.
Actively advise, develop and manage copyright strategies for software and data analytic business.
Lead and contribute to the development of business processes and policies to better enable achievement of business objectives, mitigate risk, reduce inefficiencies and improve effectiveness
Collaborate and drive change management programs in a matrix managed organization
Provide training and develop programs to protect IP and accomplish business goals
Manage outside counsel and related budgets
Juris Doctorate (JD) from accredited and recognized law school
+5 years of legal experience with a focus in the following areas:
Software Licensing and other aspects of a software focused business
Leadership and team building
Patent, copyright (software), trade secrets and trademarks
Strong written and verbal communication skills necessary to support a global business
Ability to analyze and summarize large amounts of data in relatively short periods
Ability to manage and motivate
Ability to travel internationally on a moment’s notice
Agreements involving IP provisions, including JDAs and research agreements
Excellent negotiation skills including first-hand experience of leading negotiations with parties across multiple jurisdictions
Work experience in law firm and/or in-house legal departments of multinational corporations
Experience in and knowledge of the Pharma industry, preferably including commercial and regulatory matters
Excellent collaboration and communication skills
