Global financial company has an excellent opportunity for an experienced Corporate Governance counsel to join its highly regarded team of attorneys in the Office of the Corporate Secretary. In addition to managing a small team of paralegals and support staff, some of the primary responsibilities for this position will include:
Managing the company's public company reporting and regulatory disclosure requirements, and serving as the SME on all SEC disclosure matters
Drafting, reviewing and coordinating the filing of company's '34 Act reports (Forms 10-K, 10-Q, 8-K, Proxy Statement)
Review and advise on public and internal disclosures to ensure compliance with SEC rules (including Regulations FD and G), including investor presentations, website disclosures, etc.
Drafting and advising on Securities Act filings
Assisting with the preparation of organizational documents, board and committee meeting materials, resolutions, minutes, agendas, etc., as needed
Advising on capital markets transactions and treasury matters
At least 8-10+ years relevant corporate governance experience in a public company advisory practice at a top law firm (AmLaw 100 preferred) and/or major public company
Detailed knowledge and understanding of federal and state securities laws, including the Securities Act of 1933, the Securities and Exchange Act of 1934, Regulation FD, G, etc.
Substantial experience drafting '34 Act Forms 10-Q, 10-K, and 8-K, Proxy Statements, and '33 Act filings on Forms S-1, S-3, S-4 and S-8
Prior supervisory experience required
Prior in-house experience preferred
Strong verbal and written communication skills
Excellent interpersonal and presentation skills
State bar admission required
