Hasbro is looking for an attorney with 4-7 years of experience to work in a fast-paced, collegial environment for one of the world’s most ethical companies (Ethisphere.com) and a leader in branded-entertainment. This position presents an outstanding opportunity for you to support Hasbro’s Global Consumer Products business, which is currently ranked as the 5th largest licensing business globally (Licenseglobal.com). You will also support the global brand marketing and design and development groups, with a focus on intellectual property transactions. The successful candidate will possess both transactional and intellectual property experience and a strong enthusiasm to work in a high-energy, high-volume, team-oriented environment. This role requires a robust background in contract drafting, as well as strong negotiation skills, superior analytical and organizational abilities, creative and pragmatic problem-solving approaches and a willingness to stay abreast of legal developments in licensing and intellectual property. Strong interpersonal skills, a sense of humor, and the ability to work with other department members and company clients are a must.
A day in the life as an IP Transactions Attorney:
Negotiate and draft a variety of out-license agreements for third party uses of Hasbro’s intellectual property rights, including in connection with a wide variety of consumer products, retail venues, food/beverage service companies, publishing, and live entertainment events.
Negotiate and draft a variety of in-license agreements granting Hasbro the right to use various third party intellectual property rights, including characters, rights of publicity/endorsements/sponsorships, brands, copyrights, trademarks, patents, and technology.
Advise on, negotiate and draft non-disclosure agreements.
Partner with clients to proactively identify and further business strategies in complex, quick-moving transactions and advise them from deal conception to closing.
Provide client education and training on relevant legal topics.
Work with other attorneys and paralegals globally on group/departmental and/or ad hoc projects as required.
What you'll bring:
J.D. from accredited law school, excellent academic credentials.
Bar membership in good standing.
4-6 years of relevant experience in a law firm and/or in-house law department.
Experience negotiating and drafting a variety of intellectual property transactions.
Licensing experience is a significant plus, whether representing licensors or licensees, and whether involving characters, brands, copyrights, trademarks, patents, technology, hardware and/or software.
Consumer products related advertising and digital marketing law experience is a plus.
Ability to engage in practical evaluations and explanations of risks and engage in collaborative problem-solving.
Understanding of intellectual property laws and issues, especially copyright, trademark and rights of publicity (but patent also a plus).
Flexibility and willingness to seek out and learn new technologies, practice management improvements and to implement knowledge-sharing practices.
