As part of an industry-leading team, you will help empower results for our clients by delivering innovative and effective solutions as part of our global Law department. This role is based in Cleveland, Ohio.
This attorney's primary role and responsibility will be the provision of day-to-day counsel to The Townsend Group, an Aon investment advisory subsidiary, and to serve as a member of the US Investment Law team.
Serve as a strategic partner with The Townsend Group investment advisory business team as it works to deliver and develop new financial products and services offerings.
Assist with new product development and structuring of Townsend managed on shore and off shore private funds.
Prepare, review and negotiate a variety of documents and agreements, including investment management agreements, limited partnership agreements and confidentiality agreements.
Review private equity fund investment documents (LPAs, subscription agreements, PPMs, etc.) and coordinate the review of such documents by external counsel on behalf of Townsend’s discretionary clients.
Provide strategic guidance and oversight in all regulatory matters (in concert with the Chief Compliance Officer) in the U.S. and outside the U.S., including regulatory inquiries and examinations.
Counsel and advise the senior management team on a variety of legal matters and business considerations.
Work in partnership with the company’s operational areas, including, as appropriate, investment due diligence, marketing, client reporting, finance and human resources.
Manage external counsel relationships and related expense budget.
Provide contracting support and advice on matters relating to certain financial services offerings in Aon's consulting lines of business.
Work with law department and business leadership to assist/lead on a variety of projects related to process improvements, risk mitigation and legal policy development
Interact with senior business partners, compliance, operations, client support teams and other in-house counsel, as well as clients, regulatory agencies, third party vendors and external counsel.
Assume additional responsibilities as requested.

You Bring Knowledge and Expertise
Prior background must include at least eight years of experience as an attorney in a law firm, or with a registered investment adviser, with significant experience drafting and negotiating complex transaction documents. The preferred candidate will (i) possess substantial expertise in the Investment Advisers Act of 1940, (ii) possess substantial experience advising on regulatory issues involving investment advisor and/or investment managers, especially as it relates to private funds, and (iii) demonstrated the ability to lead contract negotiations and work effectively as a project leader, especially where multiple functional areas were necessary for project execution. Experience with securities broker-dealer work is a plus.
Minimum eight years of experience in investment adviser regulation (Investment Advisers Act) and private fund structuring (preferably dealing with private real estate funds) at a law firm or in-house legal department; experience with broker-dealer regulation and familiarity with ERISA related issues preferred.
Familiarity with day-to-day operations of investment advisers and related service providers.
Experience advising about cross-border distribution issues/matters.
Excellent interpersonal, organizational, communication, team-working and problem solving skills.
Licensed in good standing to practice law in the State of Ohio.
Strong legal and analytical skills with a creative mind set and a demonstrated ability to work on time-sensitive projects.
Excellent written and verbal communication skills
Ability to gather facts from various sources and take initiative to get information that is not provided.
