Looking for an experienced, self-motivated and collaborative professional to serve as Associate General Counsel to assist with our commercial business.
Duties and Responsibilities:
Reviewing, revising and negotiating contract documents for our commercial business, including confidentiality agreements, master services agreements, statements of work,sales and licensing agreements, reseller agreements, teaming agreements, subcontract agreements (including flow down provisions) and reviewing commercial terms in RFPs and drafting other commercial agreements.
Providing solutions-oriented advice to internal stakeholders (including senior executives and managers) concerning legal risks, solutions and alternatives in a fast-paced environment.
Interfacing directly with business units and other company departments in connection with commercial and contract matters to assist management in making legally sound business decisions.
Other related responsibilities as part of our in-house Legal team, as determined collaboratively with the Deputy General Counsel and Chief Legal Officer (e.g., legal and contract compliance issues and contract administration matters)
Will report to Deputy General Counsel
Education and Years of Experience:
At least 7-10 years of experience, in-house experience preferred.
Significant experience in drafting and review of contracts and advising clients on and structuring commercial transactions including NDAs, statements of work, and professional services agreements.
Experience with software licensing, state and local government contracting and privacy issues, including GDPR, a plus.
Excellent written and oral communication skills to facilitate successful interaction with all levels of management and staff.
Must be proactive with a keen sense of urgency and the ability to pay strict attention to detail, while also turning around work quickly.
Must be an independent thinker and worker, have strong organizational skills and be able to effectively prioritize.
Flexibility and willingness to work on a broad variety of legal matters with a team-player attitude.
Hard working, self-motivated, and able to manage numerous projects simultaneously under deadline pressure.
Candidate must have a J.D. from an ABA-accredited law school and be a member in good standing of at least one state bar.
