Technology Transactions and Privacy Counsel-LEG000165
Partner with Kellogg’s IT function, negotiating commercial contracts and providing global leadership of the legal aspects of Kellogg’s Global Privacy Program. You’ll lead a cross functional team with our procurement and IT business partners in the worldwide legal operations to efficiently negotiate solutions, draft agreements and manage the IT, cloud, managed services and data security risks facing Kellogg’s. While you’re at it, you’ll lead a team to support the program framework, standards and policies; and the monitoring and oversight of applicable regulations and requirements, industry best practices and supervisory guidance.
HERE'S A TASTE OF WHAT YOU’LL BE DOING
Technology Transactions: Drafting, negotiating, structuring, reviewing and advising on a wide range of vendor agreements, with a strong focus on IT agreements, including SaaS, software license and maintenance, consulting services, and hardware purchase/lease agreements, and managed services/outsourcing agreements.
Advise the IT Team: Advising on, and resolving, IT contracting and associated legal issues, including those related to licensing metrics, software audits, open source software, data privacy and security, and cloud computing.
Privacy: Assist in the continued development and maintenance of a comprehensive privacy program which minimizes risk and maintains the confidentiality of personally identifiable information of consumers and employees and other applicable company data.
Juris Doctorate and significant related experience as in house counsel or in a law firm
Licensed to practice law in Illinois or Michigan, or ability to get admitted to the Illinois or Michigan bars
Expertise relating to US and Global privacy laws with strong knowledge of corporate and commercial/transactional law, information technology, digital commerce, outsourcing and data security law,
Demonstrated expertise in drafting and negotiating complex commercial agreements and advising and counseling clients on a range of business transactions and operational matters.
Experience in privacy and data security law and compliance efforts, including the organization and coordination of a Global Privacy Program,
Experience in advising on federal, state and international privacy law, and the conduct of privacy assessments, corporate policies and processes intended to foster privacy compliance.
Ability to read, analyze, and interpret statutes, regulations, and industry guidance
Excellent communication skills including ability to express facts and ideas clearly and concisely, both orally and in writing and work with all levels of the company
Analytical ability to define problems, collect data, establish facts, and draw valid conclusions
Self-motivated, able to work independently and as part of a team, in a fast-paced environment
Proficiency in Microsoft Office suite
