GENERAL CORPORATE & BOARD GOVERNANCE ATTORNEY POSITION WITH ONE OF THE WORLD’S MOST PROFITABLE COMPANIES
Hawryluk Advisors has been retained exclusively by Saudi Aramco, the world's largest integrated oil, natural gas, petrochemicals, renewables, and power company, to help hire an attorney with 8+ years of sophisticated general commercial and corporate governance experience for its Law Organization at its headquarters in Dhahran, Saudi Arabia.
Over the past six years, Hawryluk Advisors has helped Saudi Aramco’s Law Organization hire over 70 expat attorneys. To date, almost 100% of those hires remain with the company. The Law Organization now employs over 100 attorneys and is continuing to grow in response to Saudi Aramco’s broad corporate initiative.
As the world’s largest energy company, Saudi Aramco has many international joint ventures, affiliates, and subsidiaries (“Related Entities”). The Law Organization’s Corporate Secretariat Practice Team manages the legal, general commercial, and corporate governance issues for many of these Related Entities.
Responsibilities include but are not limited to:
• Serving as the corporate secretary for one or more Related Entities; • Advising boards of directors and related committees; • Organizing and managing board meetings, and advising as to board authority and corporate governance matters; • Preparing proxies, powers of attorney, and other governance-related delegations; • Stewarding the appointment of directors, corporate secretaries, and shareholder representatives; • Onboard training and best practices for new directors; • Advising as to shareholder issues and managing the interface between the Related Entity, the parent, and other affiliates; • Potentially advising as to securities obligations, filings, meetings, etc. • Overseeing a web-based entity management system; • Supporting complex contracting and purchasing functions, including the drafting, reviewing, and negotiating of related commercial agreements; and • Advising as to internal policies, reviewing and resolving claims, and providing training to company personnel on various legal issues impacting operations.
• Currently licensed, admitted to practice, and in good standing in the United States; • J.D. from an accredited U.S. law school; • 8+ years of experience with a strong law firm, large corporation, or other sophisticated business organization; • General corporate experience supporting a sophisticated board of directors; • Relevant commercial contracts experience; • Excellent negotiation and communication skills; • Experience providing clear and concise legal counsel to internal clients; • Experience leading, teaching, and mentoring; • Energy industry (oil and gas, petrochemical, power or oil field services), public company and international experience are a plus; and • Ability to travel on a limited basis.
