Located at ArcelorMittal’s North American headquarters in downtown Chicago, this is an outstanding opportunity for an experienced and energetic intellectual property and commercial contracts attorney with relevant experience and strong cross-cultural interpersonal skills to serve in a dual function role. The Intellectual Property Counsel will have responsibility for all intellectual property and commercial legal matters arising out of ArcelorMittal’s Chicago Research and Development Laboratory and as well as for other IP matters within the USA/Canada. The Intellectual Property Counsel will have dual reporting to the Head of IP/IT legal department in Paris and to the Assistant General Counsel in Chicago.
Working closely with the IP legal team in Paris and the US legal team in Chicago, proactively manage all IP and commercial legal matters arising out of the operations of the Chicago Research and Development Laboratory, as well as other IP matters within the USA/Canada, which shall include the following:
Collaborate with a variety of internal clients on a global basis to review, draft and negotiate a variety of commercial agreements, including NDAs, license agreements, consulting agreements, purchasing and supply agreements, joint development agreements and IT software and systems agreements arising out of ArcelorMittal’s operations .
Coordinate with patent engineer(s) and/or patent attorney(s) located worldwide, manage all trademark and copyright matters within USA/Canada scope.
Advise on IP issues that arise in sales, purchasing, financing and other business contracts.
Provide proactive legal counsel to R&D senior management on all aspects of relationships with universities, institutes or industrial partners, including state and federal grants.
Work proactively with R&D and other functions on R&D projects (sales, procurement, joint ventures) to recommend and implement changes to processes and procedures to address legal and operational risks.
Develop and implement standard forms as required.
Provide ongoing and proactive counsel on contract interpretation, including warranty, indemnity and potential dispute issues.
Consistently guard against and provide timely evaluation of potential risks in contractual, regulatory, and other legal areas. Perform due diligence on potential dispute issues as required.
Handle other commercial matters or projects as requested.
A J. D. from an accredited law school, with proven academic success.
At least 5 years relevant IP and commercial law experience, preferably with both a law firm and a corporate law department representing a global manufacturer.
Proven experience independently managing trademark, copyright, and other IP matters.
Strong business acumen and judgment and the ability to quickly understand ArcelorMittal’s business, to quickly focus in on the aspects of an agreement or transaction that matter the most to the business, and be proactive in addressing potential issues.
Excellent client management skills, with an ability to inspire confidence and trust with a variety of clients by virtue of keen business acumen, professional competence, integrity, and personal style.
Strong cross-cultural communication skills, including experience working with non-U.S. business people and attorneys
Strong written and verbal communication skills, including the ability to clearly and concisely articulate complex legal concepts to a lay audience.
Demonstrated success working on a multidisciplinary team in a fast-paced, dynamic environment; proven capability leading and/or influencing cross-functional teams.
Strong work ethic coupled with diligence, energy, and ability to act independently and adapt to changing priorities.
Engage and manage outside counsel on both a domestic and international basis.
Familiarity with applicable international laws relating to domestic and/or global manufacturing is a plus, as is awareness of other laws such as government contracts and grants.
License to practice law and in good standing under the Illinois Bar or the Bar of any state that enables admission to practice as in-house counsel in Illinois.
