CVR Energy is seeking an experienced attorney to serve as its Senior Counsel -- Operations responsible for all legal aspects of its Petroleum Refining and Nitrogen Fertilizer business units, including but not limited to contract drafting and review, contract negotiation and administration, litigation management, M&A support, regulatory oversight and advising Company personnel on a wide range of legal and contractual obligations. Reporting directly to the General Counsel, the Senior Counsel -- Operations must be a detail-oriented legal technician with sound judgment, strong work ethic and an ability to balance legal concerns to efficiently meet business objectives. As member of a small Legal Services organization, the Senior Counsel -- Operations must be a team player willing to function both independently and collaboratively, efficiently prioritizing competing business needs in a fast-paced environment.
Juris Doctorate from a reputable ABA-accredited law school with exemplary academic credentials (law review preferred).
Admission to the State Bar of Texas and must have remained in good standing in any jurisdiction in which a license has been issued.
At least 7-10 years of experience as a licensed and practicing attorney in the energy industry, preferably including large law firm experience.
Extensive drafting and negotiating skills and experience, including a deep knowledge and understanding of risk mitigation and contracting principles and best practices.
Strong communication and interpersonal skills with the ability to create effective working relationships cross-functionally, including interfacing confidently with internal and external stakeholders on legal and business matters.
Sound judgment, decision-making and organizational skills with a flexible, collaborative attitude, a desire to continually learn new concepts and an unqualified commitment to honesty, responsibility and integrity.
A flexible, innovative and business-minded focus with a pragmatic approach to problem solving, an ability to adapt to changing requirements, schedules and priorities, and the skill to socialize ideas, make recommendations and gather team consensus, all while maintaining high levels of integrity and discretion.
Contract Drafting and Support. Provide legal support and leadership to procurement, commercial and special projects teams including RFP/AFE support and drafting and reviewing, analyzing and negotiating services, EPC, NAESB, non-disclosure, IT and other agreements to support the refining, logistics (pipeline and trucking), commercial and fertilizer businesses, as well as other functional departments. Advise and counsel management on legal and business matters including making recommendations for modification, revision and clarifications of contracts, as needed.
Litigation and Dispute Management. Provide support to business units on dispute resolution including the provision of business-minded legal solutions. Direct outside counsel's management of litigation and other legal mandates on budget, on-time and with positive results.
M&A Support. Work closely with the General Counsel on M&A activity including due diligence, schedule development, contract review and related matters.
Regulatory Support. Plan, conduct, manage and/or supervise complex legal, regulatory and compliance assignments related to the refinery and fertilizer operations including maintaining a working knowledge of environmental, occupational health and safety and related regulations.
Special Projects. Execute and manage special projects including working collaboratively across business units to develop and implement a comprehensive form contract program that conforms to applicable law, reflects industry best practices, increases efficiency and balances legal risks with business objectives.
Compliance. Demonstrate a commitment to ethics and integrity and the Company's Mission and Values, and serve as a brand ambassador in support of the Company's Compliance function.
