We are seeking an ambitious in-house Principal Corporate Attorney to lead a legal team specializing in mergers & acquisitions, divestitures, joint ventures, debt restructuring, risk assessment, real estate, and related contract negotiations for transactions ranging from $10-$500 million in scope. Our client is a multi-billion-dollar international conglomerate operating in the rapidly growing water and energy utility markets. This position will report to directly to the Senior Vice President and General Counsel at their corporate headquarters in New Jersey.
Lead team of lawyers, paralegals, and professional services staff to provide ongoing legal counsel in a broad array of business functions including contract preparation, review, and negotiations related to mergers and acquisitions, joint ventures, divestitures, special purpose entities, risk assessment due diligence, real estate, and regulatory compliance matters.
Partner with tax and finance on intercompany agreements, debt financing, transfer pricing arrangements, notes and/or loans, and provide legal review as needed.
Negotiate contracts for the construction of major facilities as well as service agreements for the operation of regulated water and wastewater utilities, including environmental compliance obligations.
Collaborate with Business Unit leaders to provide counsel regarding rights and responsibilities under contracts and assistance in enforcement of contract rights.
Maintain professional standards and expertise throughout membership in bar associations, review of legal publications and attendance at relevant CLE seminars.
Juris Doctorate (J.D.) degree from a respected U.S. law school with strong academic record.
Admittance to practice in the state of New Jersey or New York required. Other bar admissions considered if NJ limited license for in-house is obtained.
7+ years of law firm or in-house corporate contract law experience with M&A, JVs, divestitures, debt financing, real estate, public utilities, and/or environmental law.
Experience working with government and regulatory agencies preferred.
Prior managerial or supervisory experience preferred.
Strong contract preparation, review, and negotiating skills.
Analytical, detail-oriented thought leader with advanced legal research skills.
Excellent written and verbal communications skills with mastery of MS Office software.
Ability and willingness to travel regionally as needed.
