Provide legal advice and guidance to Wolters Kluwer Health's Clinical Effectiveness (CE) organization on a wide variety of commercial and contractual matters, as well as providing legal services for CE on a global basis
Provide hands-on legal support in all aspects of structuring, drafting, negotiating, interpreting, managing, enforcing or defending and counseling on risks relating to strategic transactions, business development or commercial alliance arrangements with domestic and foreign third parties
Work closely with CE management on contractual and regulatory exposures and risks
Provide comprehensive legal counseling on a broad variety of corporate, regulatory compliance and intellectual property matters impacting CE, including legal trends and issues related to HIPAA/HITECH Act compliance, healthcare information technology (HIT) developments and regulatory initiatives, and general federal and state healthcare regulatory schemes
Advise the business on the protection, management and monetization of intellectual property rights and proactively develop and implement training regarding the use and protection of intellectual property
Effectively manage, in a cost-efficient manner, outside counsel (in the US and abroad), in transactional, litigation and compliance matters
A minimum of seven years of progressively responsible corporate/commercial legal experience, preferably in both a top-tier law firm and an established corporate law department
Juris Doctor or LLB with academic distinction from a nationally accredited educational institution
Experience working on a variety of sophisticated privacy and regulatory compliance matters in the health industry
Experience drafting and negotiating domestic and international commercial contracts in the health industry, including those involving complex intellectual property issues
Strong working knowledge of key health information technology (HIT) and intellectual property legal concepts, including those relating to SaaS, software licensing, and e-commerce transactions
Strong working knowledge of healthcare laws applicable to providers, payers and HIT vendors
Proficient with Microsoft Office Suite applications including Word, Excel, PowerPoint and Outlook
