EMR (USA Holdings) Inc. (“EMR”) is seeking an Assistant General Counsel to be based in our Camden, New Jersey corporate offices to provide a broad range of legal services, including contract review and negotiation, litigation strategy/management, advising business on legal risks, and supporting EMR’s senior management and business units. The Assistant General Counsel will broadly counsel all sectors of EMR’s business in the areas of commercial matters, regulatory compliance, employment, real estate, risk management, dispute resolution, and general corporate. This position will report to the General Counsel. Duties include:
Drafting, reviewing, analyzing and negotiating a variety of commercial agreements.
Providing and coordinating legal advice regarding regulatory compliance, employment, real estate, risk management, dispute resolution, and general corporate matters.
Partnering with business departments, to discuss and implement best practices and formulate new processes in connection with business needs.
Assist with corporate governance.
Resolving a variety of disputes and potential claims, and supervising external counsel in litigation matters.
Researching and evaluating different risk factors regarding business decisions and operations.
Providing support to the business on other legal matters as needed.
Law Degree from ABA accredited law school/top academic credentials required.
Admission to NJ State Bar strongly preferred (admission to a State Bar mandatory).
4+ years overall legal experience in a business/commercial law setting; at least 3+ years practicing in a law firm and/or in-house legal department.
Must have relevant experience with commercial contracts including professional services agreements, supplier contracts and similar agreements.
Experience in commodities-based industry (legal or business experience) not required but a significant plus.
Experience managing multiple litigation matters at one time with ability to effectively communicate litigation objectives and outcomes to various entities including internal stakeholders, outside counsel and insurers.
Proactive self-starter with a willingness and ability to assume primary responsibility in the negotiation, preparation and review of a wide range of commercial agreements.
Must have exceptional organizational skills and the ability to consistently prioritize, coordinate and satisfy numerous competing demands and successfully achieve deadline driven results that effectively achieve business objectives.
Excellent communication (verbal and written), drafting and negotiating skills.
Strong business acumen, problem solving skills and legal judgment.
Proven ability to be open to change and agile in a dynamic environment.
Willingness to learn and understand the Company’s various business operations to build productive relationships with internal clients.
Solid team player with superior interpersonal skills and the ability to collaborate and deal effectively with others, including senior management, peers, support staff and internal clients.
