This position also has accountability as legal counsel for Elanco BD transactions. These transactions may take the form of M&A transactions, divestitures, joint ventures, distribution agreements, IP licensing agreements and business alliance agreements
With respect to BD transactions, responsibilities will include:
Managing all phases of M&A transactions, from initial consideration of opportunities, engagement letters, confidentiality agreements, due diligence, bid letters, and purchase and sale agreements through to closing, including by leading and coordinating the work with outside counsel on these corporate transactions, if applicable;
Working closely and proactively in partnership with internal business partners and outside counsel to identify issues with these corporate transactions.
Negotiating outside counsel fees and effectively managing their performance and expenses as they relate to the various stages of the corporate transaction, if applicable
US legal (JD)
Minimum 8 years professional experience in private practice and/or in-house:
performing general commercial legal counseling within highly regulated industries;
managing and resolving commercial disputes, contractual and otherwise;
corporate transactions (M&A, divestitures);
counseling clients in broader strategic transactions and initiatives (distribution relationships and associated antitrust issues, joint ventures, alliance agreements, and IP licensing agreements).

Ability to manage and execute all aspects of mergers & acquisitions and complex corporate transactions, from planning stages to diligence to post-deal integration;
Ability to both negotiate and draft all aspects of various commercial and BD agreements including complex corporate transactions, distribution agreements, sales and procurement agreements, contract manufacturing agreements, mergers & acquisitions and joint venture agreements, etc.;
Comprehensive understanding of M&A structures, agreements and business and legal issues in both domestic and cross-border corporate transactions;
Demonstrated high level of competency managing complex programs and/or organizations;
Strong leadership skills (critical thinking, results oriented, etc.), including a strong reputation for integrity and sound judgment;
Ability to translate ambiguity and complexity into a meaningful, actionable framework
Requires excellent business acumen and mindset towards collaboration;
Requires a problem-solving, pragmatic, client-focused, results-oriented approach;
Must be self-sufficient, responsive, very well organized, assertive;
Must be very comfortable to interact virtually with the business and other functional teams at every level of the organization;
Strong written and verbal communication skills;
Must demonstrate professional conduct, strong work ethic and good judgment;
Demonstrated ability to network internally and externally to influence without authority;
Familiarity with, sensitivity to, and willing to embrace international cultural differences;
Previous in-house experience within a global animal health or pharmaceutical company or a related industry;
High level of professional maturity and sensitivity to confidentiality;
Must be a team player who works well under pressure and able to independently and reliably conclude projects and assignments; and
Excellent interpersonal skills.
