Corporate Generalist, General Commercial/Contracts, Technology
China Telecom Americas is searching for a General Counsel, reporting to Managing Director, Strategy & Legal Affairs, to join our team in CTA headquarters in Herndon, VA. The General Counsel will manage the Company’s legal & regulatory department staff and outside counsel on all contracting, policy, compliance, regulatory and other legal issues necessary to support the operational needs of the company. General Counsel will also manage the Corporate Communications department including media, internal and external communications.
Major Tasks & Responsibilities:
Contract Negotiations and Management
Manage the development and maintenance agreements for all services the Company may provide, and coordinate with foreign counsel to ensure consistent terms and regulatory compliance in templates used in US, Canada, and Latin America.
Support business units through review and negotiation of customer as well as supplier service and service level agreements for transmission services, data center colocation licenses and leases, cloud services, equipment purchases and IT integration services; equipment and/or software purchasing and supply, and mobile services.
Approve customer credit requests and advise on collections matters.
Support marketing, administration and finance departments through review and negotiation of vendor agreements, channel partner agreements and office leases.
Draft inter-affiliate agreements and coordinate with affiliate legal departments re same.
Report departmental activity and outstanding legal matters.
Lead legal aspects of investment and M&A transactions across the transaction cycle, including term sheets, shareholder agreements, and due diligence.
Support HR department with review of vendor and independent contractor agreements.
Advise HR on miscellaneous employment issues.
Manage and direct outside counsel, as necessary, in structuring and managing the legal aspects of collective labor contracts and employee relations claims.
Oversee outside counsel work on compliance with routine FCC and state regulatory reporting requirements and regulatory fees.
Research and advise on special telecom regulatory issues (e.g., U.S. Cuba policies, spectrum policies, USAC reporting).
Lead any necessary special filings with FCC and or state regulatory jurisdictions.
Manage and direct outside counsel as well as internal departments on compliance with Team Telecom, Commerce Department and other U.S. government inquiries and requirements.
Coordinate with Finance Department on state tax reporting and remittances.
Manage and direct foreign counsel on telecom regulatory and corporate compliance in Canada and Latin America.
Manage responses to law enforcement subpoenas for CALEA compliance.
Oversee responses to DCMA Take Down Notices and other complaints re IP infringement on websites.
Ensure timely filing of CPNI and other compliance certifications with FCC.
Oversee trademark registration filings as necessary and provide general advice including copyright and trademark protections.
Manage timely renewal of company’s registered trademarks.
Manage and direct outside counsel in miscellaneous litigation matters concerning commercial disputes (e.g., responding to subpoenas, working with outside counsel to respond to discovery), intellectual property claims, etc.
Monitor to provide strategic recommendations on compliance best practices for each Company operating territory.
Manage Company’s Anti-bribery and Anti-trafficking policies and compliances
Manage and lead the Corporate Communications team effectively to meet Company. objectives in public media and responses, and internal communications.
Other departmental duties as needed.
The successful candidate must have a law degree from an accredited school and a minimum of 10+ years’ law firm or corporate experience in technology contracts, preferred for telecom data services, equipment procurement and sales, IT integration and data center services; commercial transactions; as well as corporate policies and compliance. Other preferred areas of experience include wireline and wireless telecommunications regulations, international privacy and data protection rules, Foreign Corrupt Practices Act compliance, information security issues, litigation, cross border transactions, and management of foreign counsel. The candidate should be broadly conversant in IT systems and operations, preferred in telecommunications. Proficiency in Chinese, Spanish and/or Portuguese is a plus, but not mandatory.
