The regional legal counsel will be primarily responsible for negotiating and drafting software license, maintenance, distribution, and service agreements, OEM and partner agreements, conducting complex negotiations and dispute settlements, and supporting a broad range of transactional matters.
You'll have the opportunity to:
Work closely with TIBCO’s sales operations and revenue departments to help define and construct contracts, sales agreements and revenue models.
Advise TIBCO’s U.S. Federal business unit and non-Fedreal sales organization on contract negotiation objectives and strategy, general IP strategies and issues and/or dispute resolution with third parties.
Act as a trusted advisor on legal issues to business units and all levels of TIBCO personnel, up to and including senior executives.
Conduct due diligence for acquisitions and support other special projects and initiatives, as needed.
Additional responsibilities may include:
Drafting and negotiation of contracts pertaining to technology issues, intellectual property, and vendor contracts;
Counsel business units and other organizations on contract negotiation objectives and strategy, general IP strategies and issues and/or dispute resolution with third parties;
Conduct due diligence for acquisitions, as needed.
The ideal candidate will have a minimum of 5 -10 years of overall experience handling contract negotiations, licensing and commercial transactions.
Candidate must have experience supporting a U.S. Federal sales organization with specific expertise in licensing software to the U.S. government.
Candidates should have a strong background in drafting and negotiating channel and partner agreements, sales contracts, services agreements, licenses, and related outbound technology transactions agreements.
You must be a motivated attorney with excellent interpersonal skills and a strong team orientation for this rewarding opportunity.
Candidates must be hard working, well organized and able to manage numerous projects simultaneously under demanding deadline pressure.
Candidates should work well in a fast-paced, challenging environment as part of a dynamic team of professionals, and have the ability to communicate effectively in group settings and before senior management.
Prior legal experience in software, technology, and distribution channel matters is strongly preferred.
Favorable consideration will also be given to candidates who also have the following:
JD degree and active state bar membership in the state where they would be practicing;
Understanding of software revenue recognition principles;
Experience with intellectual property matters;
Understanding of how an in-house legal department interacts with sales and other corporate divisions in a Sarbanes-Oxley world;
Knowledge of or experience with data privacy laws including GDPR, HIPAA, HITECH, and their implementing regulations a plus; and
Proficient with use of Microsoft Office components and other desktop software.
