PRIMARY PURPOSE: Be one of a team of four attorneys reporting to the Assistant General Counsel and Assistant Secretary. Responsibilities will include: (i) handling all aspects of legal representation on Simon’s real estate finance transactions, including CMBS financings, construction loans, SEC registered notes, and credit agreements; (ii) managing ongoing legal matters related to Simon’s partnership and joint venture agreements; (iii) participating in legal aspects of new investments, property acquisitions and property dispositions; and (iv) corporate governance matters. Draft, review and negotiate loan documents and related agreements.
Coordinate lenders’ due diligence review, such as title policies, surveys, organizational documents, estoppel certificates, SNDAs, legal opinions, ground leases, leases and zoning matters, as well as closing logistics.
Draft, review and negotiate confidentiality agreements, letters of intent, joint venture agreements, partnership agreements and purchase agreements.
Review and advise on terms of joint venture and partnership agreements with respect to applicability of notices and consents.
Advise on legal ramifications of deal structures and key deal terms.
Oversee paralegals and other legal staff on transactions.
Supervise outside counsel
Handle various other matters from time to time, such as development projects, workouts and corporate governance projects.
ACADEMIC AND PROFESSIONAL QUALIFICATIONS:
J.D. from an accredited law school and be admitted to practice in one or more states (Indiana not required).
Between 5 and 10 years of transactional experience at a national or regional law firm.
Strong knowledge of corporations, partnerships and limited liability companies.
Finance and Real Estate experience preferred, but not required.
Experience drafting and negotiating loan agreements, notes, letters of intent, joint venture agreements, partnership agreements and purchase agreements.
The ability to handle highly sensitive matters discretely.
Outstanding communication skills, both written and oral.
Excellent interpersonal skills and enthusiasm for working in a team environment.
The ability to organize and prioritize multiple time-sensitive matters.
