Under general supervision by the Chief Executive Officer, the Senior Counsel will provide legal services for the company, which is a finance company that provides senior secured loans to healthcare businesses throughout the U.S. and is owned by a publicly traded BDC. This position will have the primary responsibility of negotiating and documenting all of company’s financing transactions. This position will also work with and oversee outside counsel on healthcare lending regulatory matters and other various transactions.
Will be based at the company’s headquarters in Philadelphia, PA (Tinicum Twp.) providing legal services in connection with the company’s financing transactions
Prepare and negotiate loan documentation for the company’s financing transactions, which are typically asset-based revolving lines of credit and in some situations, cash-flow and real estate loans
Provide advice to the company in relation to workouts and debt restructurings
Manage outside counsel as needed
Assist in ensuring that the company conducts its business in compliance with applicable laws and regulations while focusing on best practices
Performs other duties as required
At least 6-8 years of relevant secured financing experience as a licensed attorney; healthcare industry and/or asset-based finance experience preferred
Must have a J.D. from an accredited law school and be licensed to practice in Pennsylvania
A self-starter that can work collaboratively with members of the credit team on multiple complex transactions which often have tight closing timelines
Position requires extensive, self-initiated client contact, and an ability to provide senior management with sound and practical legal advice
Excellent interpersonal and writing skills, experience in drafting and negotiating agreements, strong problem-solving capabilities, and a clear understanding of the lawyer's role as a legal and business adviser
