Choice Hotels is seeking a Counsel to join our Contracts Department and provide legal support for a variety of Choice commercial agreements across the enterprise, including both revenue generating agreements and procurement agreements.
Areas of emphasis include e-commerce agreements, distribution and global sales agreements, intellectual property-related agreements, technology licensing and transactions (software licenses, agreements and partnerships), procurement (internal and franchisee), as well as a wide variety of other operational vendor agreements, marketing contracts, advertising, brands, Choice Privileges/loyalty program, corporate communications, public relations and professional services agreements.
This role will support Choice associates throughout the company (at all levels) and must possess strong inter-personal, organizational and communication skills and the ability to proactively manage all contract stages from draft to execution including: contract creation/analysis, advising stakeholders on Legal issues/risks, strategizing with stakeholders on approach, negotiating, and achieving an executable contract that safeguards Choice’s interests.
What you will do…
Commercial & Operational Transactions - Counsel is responsible for reviewing, analyzing, drafting & negotiating commercial and operational contracts, and partnering with business stakeholders to drive results including:
Knowing and demonstrating the Legal Department’s process and matching it with the business operations and objectives to provide effective, practical and value-added legal advice and solutions.
The ability to consistently operate in a dynamic environment to prioritize, process and review, in a timely and organized fashion, a significant quantity of commercial agreements.
Working with business stakeholders to implement feasible solutions that achieve business needs and provide appropriate legal safeguards within the four corners of the contract and implementation of the contract.
Contracts Management Lifecycle & Corporate Compliance - Counsel is responsible for supporting the Legal Department’s efforts to ensure company-wide compliance with internal and external policies, including:
Aligning the contracts management lifecycle and contracts review procedures with corporate compliance efforts;
Implementing process efficiencies to increase speed to market without compromising the quality of the Legal documents/response.
Prepare, conduct, refresh and support compliance training sessions
Provide training, mentoring and secondary oversight for junior members of Contracts staff including Contracts Paralegal and Legal Systems Administrator & Paralegal.
Skills you have…
Law Degree from accredited School of Law required
Admission to MD State Bar or other State Bar required
4+ years overall legal experience in a business/commercial law setting; at least 3+ years practicing in a law firm or medium/large in-house legal department.
Experience supporting sales teams and procurement teams preferred
Must have relevant experience with routine and complex technology/software agreements and/or (non-patent) intellectual property licensing agreements. Experience with SaaS, ULAs, Cloud Computing, PCI, etc. is preferred.
Relevant experience with commercial contracts including professional services agreements, supplier contracts and marketing agreements.
Industry experience in the hotel/hospitality/franchise industries (legal or business experience) not required but a significant plus.
Proactive self-starter with a willingness and ability to alternatively assume “first chair” or “second chair” legal role in the negotiation, preparation and review of a wide range of commercial agreements.
Must have exceptional organizational skills and the ability to consistently prioritize, coordinate and satisfy numerous competing demands and successfully achieve deadline driven results that effectively achieve business objectives.
Excellent communication (verbal and written), drafting and negotiating skills.
Strong business acumen, problem solving skills and legal judgment.
Must have exceptional customer focus and approachability.
Proven ability to be open to change and agile in a dynamic environment.
Strong sense of urgency.
Willingness and desire to learn and understand the Company’s various business departments and operations to build effective “business partnerships” with internal clients and drive results.
Solid team player with superior interpersonal skills and the ability to collaborate and deal effectively with others, including senior management, peers, support staff and internal clients.
